Confidential Information from unauthorized use or disclosure by using at least the <br /> same degree of care as the Recipient employs to avoid unauthorized use or disclosure <br /> of its own most sensitive, non-public information, but in no event less than reasonable <br /> care. Each Party wilt advise its personnel of the confidentiality standards imposed <br /> upon them pursuant to the terms of this Agreement. Further, each Party will have <br /> obligations in place (either directly or indirectly through their respective employers) <br /> with all personnel to keep the Confidential Information in confidence. <br /> 6.4. Permitted or Required Disclosures. Each Recipient may disclose relevant <br /> aspects of Employer's Confidential Information to its officers, directors, legal advisors, <br /> financial advisors, contractors, personnel, and affiliates, to the extent that such <br /> disclosures are reasonably necessary for the performance of its duties and obligations <br /> pursuant to this Agreement or enforcement of its rights. Subject in every respect to <br /> the Washington state public records act and Section 6.8 below, each Recipient will <br /> take reasonable measures to ensure that Discloser's Confidential Information is not <br /> disclosed or duplicated in contravention of the provisions of this Agreement by such <br /> officers, directors, legal advisors, financial advisors, contractors, personnel, or <br /> affiliates. Subject in every respect to the Washington state public records act and <br /> Section 6.8 below, the Parties' respective obligations wilt not restrict any disclosure <br /> required by taw; provided, however, that: (a) the Recipient shalt give advance notice <br /> of such disclosure requirement to the Discloser (to the extent legally permissible) and <br /> give the Discloser reasonable opportunity to object to and contest such disclosure, <br /> including seeking a protective order or other appropriate remedy; and (b) the <br /> Recipient shall take reasonable action necessary to not disclose the Discloser's <br /> Confidential Information that is not required to be disclosed to satisfy any legal <br /> requirement (including through redaction of sensitive commercial information, <br /> including key terms of this Agreement, or otherwise) and shalt use reasonable efforts <br /> to secure confidential treatment of any such information that is required to be <br /> disclosed. <br /> 6.5. Return or Destruction. Upon written request by the Discloser, but subject in <br /> every respect to the Washington state public records act and Section 6.8 below, the <br /> Recipient, within seven (7) days, will provide the Discloser a copy of any Confidential <br /> Information of the Discloser in the Recipients possession or control. Except as <br /> otherwise required by law or to the extent this Agreement provides for the Recipient <br /> to continue to use items that constitute or contain the Discloser's Confidential <br /> Information after the applicable date of expiration or earlier termination, the <br /> Recipient will promptly return and cause to be returned, or (at the Discloser's option) <br /> promptly destroy and cause to be destroyed all printed and electronic copies of <br /> Discloser's Confidential Information upon the Recipient's cessation of work, <br /> completion of its obligations associated with such information under this Agreement, <br /> or upon any earlier termination of this Agreement for any reason whatsoever. At the <br /> Discloser's request, the Recipient will certify in writing that it has complied with this <br /> Section 6.5. <br /> 6.6. Feedback. 98point6 has not agreed to and does not agree to treat as <br /> confidential any suggestions or ideas provided to 98point6 by Employer regarding the <br /> Services or the Platform ("Feedback"), and nothing in this Agreement or in the <br /> Parties' dealings arising out of or related to this Agreement will restrict 98point6's <br /> right to use, profit from, disclose, publish, or otherwise exploit any Feedback, without <br /> compensation or other obligation to Employer, or provide Employer with any rights in <br /> the Service. <br /> Subscription Agreement 9 <br /> 20190227.v10.1 <br />
