I 1 1 Subcontractors for extensions of Contract Time, adjustment of Contract Sum, additional 2 compensation that the Contractor attempts to pass through or assert against the Owner, or I 3 claims against the Owner arising out of a third party's claim against the Contractor. 4 Contract Documents: See form of Contract in the Bid Proposal. 5 Contract Time: The period of time established by the terms and conditions of the Contract I 6 within which the Work must be physically completed. 7 Contract Execution Date: The date the City of Everett officially binds the Contractor to the I 8 Contract. 9 Contract Sum: The price in dollars stated in the Contract to be paid by the Owner to the 10 Contractor for the Work described in the Contract Documents, as modified by any Change 11 Orders. 12 Delay: Any increase of the duration of the critical path of the Project. Dispute: Any controversy or disagreement. I13 14 Engineer: Any and all provisions in the Contract Documents that state the Engineer "shall" 15 or "will" shall be deemed to mean that the Engineer shall or will take such action if 16 requested in writing by the Contractor. I17 Equipment: Mechanical, electrical, instrumentation, or other devices with one or more 18 moving parts, or devices requiring an electrical, pneumatic, electronic, or hydraulic I 19 connection. 20 Extended Overhead: The increase in Overhead costs attributable to an extension of 21 Contract Time. 22 Extra Work: Providing materials and Equipment and the performance of Work not directly 23 called for in, or implied by, the Contract Documents, such that the Contractor would be 24 entitled to an adjustment of Contract Sum and possibly an extension of Contract Time. I25 Final Acceptance: Formal action by Everett City Council determining that all of the 26 Contractor's Work has been completed, except for any landscaping maintenance. I 27 Float: The amount of time between the early start date and the late start date, or the early 28 finish date and the late finish date of any activity in the Project schedule. 29 Force Account: Costs of performing Work as defined in Section 1-09.6 Force Account. I 30 Furnish: To deliver to the job site or other specified location any item, Equipment, or 31 material. 32 Install: Placing, erecting, or constructing complete in place any item, Equipment, or I33 material. 34 May: Conduct that is permitted, but not required. I 35 Notice: A signed, written communication by the Contractor to the Owner as described in 36 Section 1-04.5 Notice by Contractor. 37 Notice of Award: The written notice from the City of Everett to the successful Bidder I38 signifying the City's acceptance of the Bid. 39 Notice to Proceed: The written Notice from the Owner or Owner's Representative to the 40 Contractor authorizing and directing the Contractor to proceed with the Work and I 41 establishing the date on which the Contract Time begins.
