1 officers, employees, and agents against any such claim, including all attorney's fees and <br /> 2 any other costs incurred by the indemnified parties relative to any such claim. <br /> 3 <br /> 4 The Contractor shall coordinate its Work with other Contractors and utility companies that <br /> 5 may have facilities in the Project area and cooperate with them. The Contractor shall also <br /> 6 coordinate its activities with the City; and no water mains, individual water services, street, <br /> 7 or private driveways may be closed off without a minimum of 5 working days notice to the <br /> 8 City and the private property owner. Should the property owner or the City have adequate <br /> 9 reason, as determined by the Engineer, to avoid access or water service shutoff at the <br /> 10 scheduled time, the Contractor shall reschedule its Work to meet the new condition. <br /> 11 <br /> 12 Final grading to Subgrade and Subgrade preparation in those areas disturbed by the <br /> 13 utilities companies shall be the responsibility of the Contractor and considered incidental to <br /> 14 the street construction and no additional compensation will be paid. <br /> 15 <br /> 16 The Contractor shall cooperate with the utility companies and/or their Subcontractors and <br /> 17 so conduct its operations that the necessary construction of their facilities can be <br /> 18 accomplished to the mutual satisfaction of the City of Everett and the utility companies. <br /> 19 <br /> 20 '21 Supplement Section 1-05 by adding the following subsections: <br /> 22 <br /> 23 1-05.16 Water and Power <br /> 24 The following New subsection is added to Section 1-05 as follows: <br /> 25 The Contractor shall make necessary arrangements, and shall bear the costs for power and <br /> 26 water necessary for the performance of the Work, unless the Contract includes power and water <br /> 27 as a pay item. The Contractor shall pay all power and water costs until Substantial Completion, <br /> 28 whether such power or water is provided by temporary or permanent facilities. The City shall <br /> 29 not be liable for any costs or delays arising out of or caused by the availability or lack of <br /> 30 availability of permanent power or utilities. <br /> 31 <br /> 32 1-05.17 Oral Agreements <br /> 33 The following New subsection is added to Section 1-05 as follows: <br /> 34 <br /> 35 No oral agreement or conversation with any officer, agent, or employee of the City, either before <br /> 36 or after execution of the Contract, shall affect or modify any of the terms or obligations contained <br /> 37 in any of the documents comprising the Contract. Such oral agreement or conversation shall be <br /> 38 considered as unofficial information and in no way binding upon the City, unless subsequently <br /> 39 put in writing and signed by the City. <br /> 40 <br /> 41 1-05.18 Contractor <br /> 42 The following New subsection is added to Section 1-05 as follows: <br /> 43 <br /> 44 1-05.18(1) Contractor's Representative <br /> 45 The Contractor shall notify the City in writing of the name of the person who will act as the <br /> 46 Contractor's representative and shall have the authority to act in matter relating to this <br /> 47 Contract.
