1 officers, employees, and agents against any such claim, including all attorney's fees and 2 any other costs incurred by the indemnified parties relative to any such claim. 3 4 The Contractor shall coordinate its Work with other Contractors and utility companies that 5 may have facilities in the Project area and cooperate with them. The Contractor shall also 6 coordinate its activities with the City; and no water mains, individual water services, street, 7 or private driveways may be closed off without a minimum of 5 working days notice to the 8 City and the private property owner. Should the property owner or the City have adequate 9 reason, as determined by the Engineer, to avoid access or water service shutoff at the 10 scheduled time, the Contractor shall reschedule its Work to meet the new condition. 11 12 Final grading to Subgrade and Subgrade preparation in those areas disturbed by the 13 utilities companies shall be the responsibility of the Contractor and considered incidental to 14 the street construction and no additional compensation will be paid. 15 16 The Contractor shall cooperate with the utility companies and/or their Subcontractors and 17 so conduct its operations that the necessary construction of their facilities can be 18 accomplished to the mutual satisfaction of the City of Everett and the utility companies. 19 20 '21 Supplement Section 1-05 by adding the following subsections: 22 23 1-05.16 Water and Power 24 The following New subsection is added to Section 1-05 as follows: 25 The Contractor shall make necessary arrangements, and shall bear the costs for power and 26 water necessary for the performance of the Work, unless the Contract includes power and water 27 as a pay item. The Contractor shall pay all power and water costs until Substantial Completion, 28 whether such power or water is provided by temporary or permanent facilities. The City shall 29 not be liable for any costs or delays arising out of or caused by the availability or lack of 30 availability of permanent power or utilities. 31 32 1-05.17 Oral Agreements 33 The following New subsection is added to Section 1-05 as follows: 34 35 No oral agreement or conversation with any officer, agent, or employee of the City, either before 36 or after execution of the Contract, shall affect or modify any of the terms or obligations contained 37 in any of the documents comprising the Contract. Such oral agreement or conversation shall be 38 considered as unofficial information and in no way binding upon the City, unless subsequently 39 put in writing and signed by the City. 40 41 1-05.18 Contractor 42 The following New subsection is added to Section 1-05 as follows: 43 44 1-05.18(1) Contractor's Representative 45 The Contractor shall notify the City in writing of the name of the person who will act as the 46 Contractor's representative and shall have the authority to act in matter relating to this 47 Contract.
