v. Portal. The "Portal" is an internet web application gateway owned, operated and <br /> maintained by the Vendor under contract with the PORTAL AGENCY that affords Taxpayers <br /> and businesses a single access point through which they may apply for business licenses from, <br /> and pay taxes and fees to, Participating Cities, and receive information related to these functions. <br /> w. PORTAL AGENCY. "PORTAL AGENCY"means the Washington Multi-City <br /> Business License and Tax Portal Agency. <br /> x. Portal Operations Policy. The "Portal Operations Policy"is a separate document <br /> adopted by Supermajority Vote of the Executive Board, as it may be amended from time to time, <br /> which describes how data will be shared between the Participating Cities and the PORTAL <br /> AGENCY, and sets forth operating procedures and rules for the Portal. <br /> y. Portal Services Contract. The `Portal Services Contract" is that certain contract <br /> dated as of September 6, 2013 between The City of Seattle and eGov Systems, a Louisiana <br /> corporation,to develop software for, and host the Portal operations. The Portal Services <br /> Contract is to be assigned to the PORTAL AGENCY by The City of Seattle pursuant to Section <br /> 12 of this Agreement. <br /> z. Principal. A"Principal" is a general purpose municipal corporation formed as a <br /> city under the laws of the state of Washington which imposes a Business and Occupations Tax <br /> and which has accepted the terms of and is a party to this Agreement and has paid its share of <br /> initial costs as may be required by the Executive Board as a condition to becoming a Principal. <br /> Principals shall receive services offered by the PORTAL AGENCY according to such terms and <br /> conditions as may be established by the Executive Board. <br /> aa. Representative. The term"Representative"refers to the individual representing a <br /> Principal or a Subscriber on the Operations Committee, or his/her designated alternate. <br /> bb. Simple Majority Vote. A"Simple Majority Vote" of the Executive Board means <br /> a majority(more than 50%) of the votes of the Board Members present constituting a quorum, <br /> with each Board Member that is present and voting having one vote. <br /> cc. Subscriber. A"Subscriber" is a general purpose municipal corporation, formed as <br /> a city under the laws of Washington which has agreed to pay the PORTAL AGENCY for <br /> services according to such terms and conditions as may be established by the Executive Board <br /> and evidenced by separate contract between the PORTAL AGENCY and such entity. A <br /> Principal may convert or be converted to Subscriber status as provided in Sections 8, 13.d and <br /> 13.k and a Subscriber may convert to a Principal as described in Section 8. <br /> dd. Supermajority Vote. A "Supermajority Vote"means Executive Board approval <br /> of an item accomplished by securing affirmative votes of not less than sixty-six percent(66%)of <br /> all voting Board Members of the Executive Board in number,and not less than sixty-six percent <br /> (66%) in number of the Original Principals. <br /> ee. Taxpayers. "Taxpayers" are businesses subject to local city taxes imposed by a <br /> Principal or Subscriber, payment of which is or can be administered by the Portal. <br /> v. 11.5.13 1 0 5 <br />
