cam. <br /> CONTRACT FOR FALSE ALARM MANAGEMENT SERVICES <br /> THIS CONTRACT FOR FALSE ALARM MANAGEMENT SERVICES ("Contract") made <br /> and entered into this I day of January, 2020 (the "Effective Date") by and between <br /> EVERETT, WA ("CUSTOMER"), a having offices at 2930 Wetmore Ave., Everett, WA <br /> 98201, and CentralSquare Technologies, LLC, a Delaware Limited Liability Company <br /> ("CST" or "CONTRACTOR"), having offices at 1000 Business Center Drive, Lake Mary, Florida <br /> 32746, each, a "Party", and together, the "Parties". <br /> WITNESSETH: <br /> Whereas, the CUSTOMER issued a Request for Proposals (RFP #2019-110); and <br /> CONTRACTOR submitted a proposal for Alarm Management Services dated November 13, <br /> 2019. <br /> Whereas, CUSTOMER is authorized to engage a third-party CONTRACTOR to assist <br /> the CUSTOMER to perform these services; and <br /> Whereas, the CONTRACTOR created and markets the proprietary and patented (U.S. <br /> Patent No. 6,856,246) software system called CryWolf® ("Software"), an integrated suite of <br /> software applications operating in a Windows-based environment, designed to assist false <br /> alarm reduction managers and planners in government agencies and industry in accessing <br /> information relevant to false alarms, and which has been developed at CONTRACTOR's private <br /> expense for the commercial marketplace and is not in the public domain; <br /> Whereas, the CUSTOMER desires to engage the CONTRACTOR to provide the full <br /> service false alarm solution ("Services") described in Attachment A; <br /> Whereas, the CONTRACTOR desires to accept such engagement. <br /> Now, Therefore, the parties agree as follows: <br /> 1. Term. <br /> The initial term of this Contract shall commence upon the date it is signed by both parties (the <br /> "Effective Date") and shall continue for a period of two (2) years following the date the <br /> CONTRACTOR begins tracking and billing for false alarms. This contract may be renewed for <br /> up to three (3) additional one-year periods at the sole discretion of the CITY and will be handled <br /> through a contract amendment initiated by the City's Purchasing Department, unless CITY or <br /> CONTRACTOR exercise contract termination as outlined in Section 17. <br /> 2.
