through Reimbursable Charges or Start-Up Expenses are the property of Vera ("Reimbursed <br /> Personal Property"). Examples of Reimbursed Personal Property include equipment and medical <br /> supplies. <br /> If during the Term any Reimbursed Personal Property is transferred to other Vera clinics <br /> or disposed of or otherwise no longer used for Services, Vera will (A) credit Employer the fair <br /> market value of such Reimbursed Personal Property at the time of transfer or disposal, if the <br /> Reimbursed Personal Property was paid for by Employer by Reimbursable Charges or (B) credit <br /> Employer the fair market value of such Reimbursed Personal Property at the time of transfer or <br /> disposal multiplied by the ratio of Employer's Start-Up Expenses to Total Start-Up Expenses, if <br /> the Reimbursed Personal Property was purchased as part of Start-Up Expenses. <br /> Notwithstanding the foregoing, upon termination of the Agreement, Employer at <br /> Employer's election will either: <br /> (a) give notice to Vera that Employer will purchase from Vera Clinic-related personal <br /> property designated by Employer, in which case Employer (i) will pay fair market value for <br /> personal property that was not previously reimbursed by the Employer, (ii) will receive at no <br /> charge personal property paid for by Employer by Reimbursable Charges, and (iii) will pay fair- <br /> market value multiplied by the ratio of Vera Start-Up Expenses to Total Start-Up Expenses for <br /> personal property purchased as part of Start-Up Expenses; or <br /> (b) give notice to Vera that Employer requires payment for Reimbursed Personal Property, <br /> in which case Vera will retain ownership and Vera within 30 days after such notice will pay <br /> Employer(1)the fair market value(calculated as of the termination date)for Reimbursed Personal <br /> Property paid for by Reimbursable Charges and (2) the fair market value (calculated as of the <br /> termination date) multiplied by the ratio of Employer's Start-Up Expenses to Total Start-Up <br /> Expenses for Reimbursed Personal Property paid for by Start-Up Expenses. <br /> 4. Exhibit D of Schedule 2. Exhibit D of Schedule 2 to the Agreement is hereby amended <br /> and restated in its entirety to read as follows: <br /> 4 <br />
