Section F.1 of Schedule 3. Section F.1 of Schedule 3 to the Agreement is hereby <br /> amended and restated in its entirety to read as follows: <br /> 1. "Adding Another Anchor Employer. If Vera or Employer want to add another <br /> employer as an additional anchor employer to the Clinic(an"Additional Anchor"), <br /> then such party will deliver a written proposal to the other party. The other party <br /> may consent or not consent to the proposal at its sole discretion. If the proposal <br /> appears acceptable, the parties will then negotiate in good faith an amendment to <br /> this Agreement (or a new agreement or a separate side agreement, as appropriate) <br /> to add the Additional Anchor. This amendment or agreement will cover, among <br /> other items,the adjustments to staffing and impact on Fees to Employer. Employer <br /> acknowledges that an Additional Anchor will not contribute any payment toward <br /> Employer's Start-Up Expenses unless Vera's Start-Up Expenses have first been <br /> reimbursed to Vera.. The final amendment or agreement must be approved by the <br /> Everett City Council, which has sole discretion to approve or not approve." <br /> All other portions of Section F of the Agreement are unchanged and remain in full force and effect. <br /> 6. Lease Amendment. The City and Vera will execute a Lease amendment in the form <br /> attached as Exhibit A. <br /> 5 <br />
