Hughes <br /> SUBJECT: Termination of Homeowners' Associations under Washington Law <br /> I. QUESTION PRESENTED: <br /> Under the Revised Code of Washington ("RCW") what percentage of members must approve the <br /> termination of a fee simple townhome homeowners' association? <br /> II. BRIEF ANSWER: <br /> If the governing documents are silent,under the RCW, a fee simple townhome homeowners' <br /> association can be terminated with a two-thirds vote of the voting members of the association. <br /> However,the RCW permits the governing documents to alter this default rule. Therefore,the <br /> governing documents could require any number of the members to terminate the association— <br /> including one hundred percent of the voting members and one hundred percent of the applicable <br /> lenders. <br /> III. ANALYSIS <br /> A Washington homeowner's association for fee simple townhomes is governed by Chapter 64.38 <br /> of the RCW. Unlike the Washington condominium statute RCW 64.34.268 which sets forth that <br /> a condominium can be terminated upon the affirmative vote of eighty percent of its members, <br /> RCW 64.38 does not directly address the percentage of members required to approve the <br /> termination of a homeowners' association.
