is made and entered into by and among the RIVERFRONT COMMERICIAL, L.L.C. (the <br /> "Developer"), CITY OF EVERETT, a municipal corporation of the State of Washington <br /> (the "City"); RIVERFRONT GROCER LLC, a Washington limited liability company; <br /> RIVERFRONT THEATER LLC, a Washington limited liability company; <br /> RIVERFRONT PHASE 1 LLC, a Washington limited liability company; RIVERFRONT <br /> PHASE 2 LLC, a Washington limited liability company; RIVERFRONT PHASE 3 LLC, <br /> a Washington limited liability company; and RIVERFRONT PHASE 4, LLC, a <br /> Washington limited liability company (each, an"Assignee"; collectively, "Assignees"). <br /> Unless otherwise defined herein, capitalized terms in this Assignment Agreement <br /> are as defined in the Amended and Restated Property Disposition Agreement between the <br /> City and Developer dated May 10, 2019, a memorandum of which was recorded under <br /> Snohomish County recording number 201908230501 (the "ARPDA"). <br /> RECITALS <br /> A. On November 15, 2019, Developer recorded under Snohomish County <br /> recording number 201911155003 that certain boundary line adjustment, related to the <br /> Developer Property in the commercial area commonly referred to as the Riverfront (the <br /> "BLA"). As of the Effective Date herein, Developer is conveying the following lots <br /> created by the BLA in the Developer Property to the following Assignees: <br /> Assignee Portion of Developer Property <br /> Riverfront Phase 1 LLC BLA Lots 6, 9, and 10, as legally described <br /> in Exhibit A hereto ("Phase 1 Lots") <br /> Riverfront Phase 2 LLC BLA Lots 1 and 4, as legally described in <br /> Exhibit A hereto ("Phase 2 Lots") <br /> Riverfront Phase 3 LLC BLA Lots 7, 8, 11, 13, 16, 17, as legally <br /> described in Exhibit A hereto ("Phase 3 <br /> Lots") <br /> Riverfront Phase 4, LLC BLA Lots 2 and 3, as legally described in <br /> Exhibit A hereto ("Phase 4 Lots") <br /> Riverfront Grocer LLC BLA Lot 12, as legally described in Exhibit <br /> A hereto ("Grocer Lot") <br /> Riverfront Theater LLC BLA Lot 5, as legally described in Exhibit <br /> A hereto ("Theater Lot") <br /> B. The Developer Property has been the subject of detailed environmental <br /> characterization and remedial actions under Washington state's Model Toxics Control <br /> Act and is subject to a final court-approved Consent Decree entered into between the City <br /> and the Washington State Department of Ecology ("DOE") dated April 2, 2001, as <br /> amended (the "Consent Decree"). As required by the Consent Decree, Developer has <br /> provided notice to DOE of its intent to make the conveyances described above. <br /> 2 <br />
