In connection with the Consent Decree, Developer and City are also <br /> parties to the Landfill and Environmental Indemnification Agreement dated April 30, <br /> 2008, a memorandum of which was recorded under Snohomish County recording number <br /> 200805140927 (the "LEIA"). <br /> D. The Developer Property is also subject to the Development Agreement <br /> dated June 2, 2009, as amended (the "Development Agreement"). The memorandum of <br /> the Second Amendment to the Development Agreement, which is the most recent <br /> amendment to the Development Agreement, is recorded under Snohomish County <br /> recording number 201908230500. <br /> E. The purpose of this Assignment Agreement is for Developer to assign and <br /> Assignees to assume the ARPDA and LEIA as set forth herein and to make provision for <br /> continued development of the Developer Property in accordance with the Consent Decree <br /> and the Development Agreement. <br /> AGREEMENT <br /> Developer, City, and Assignees agree as follows: <br /> ARPDA AND LEIA <br /> 1. Phase 1 Lots. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Phase 1 LLC hereby assumes,the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Phase 1 Lots. <br /> 2. Phase 2 Lots. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Phase 2 LLC hereby assumes, the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Phase 2 Lots. <br /> 3. Phase 3 Lots. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Phase 3 LLC hereby assumes, the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Phase 3 Lots. <br /> 4. Phase 4 Lots. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Phase 4 LLC hereby assumes, the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Phase 4 Lots. <br /> 5. Grocer Lot. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Grocer LLC hereby assumes, the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Grocer Lot. <br /> 6. Theater Lot. As of the Effective Date herein, Developer hereby assigns, <br /> and Riverfront Theater LLC hereby assumes,the rights, obligations and liabilities of <br /> Developer under the ARPDA and LEIA with respect to the Theater Lot. <br /> 3 <br />
