16J <br />AMENDMENT NO. 3 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br />THE CITY OF EVERETT <br />AND <br />JACOBS ENGINEERING GROUP, INC. <br />The City and Jacobs Engineering Group Inc. agree to amend and modify their professional services agreement <br />dated (the "Agreement") as follows: <br />1. The effective date of this Amendment is May , 2014. <br />2. The work included in Exhibit A-3 of this amendment is added to the Scope of Work described in <br />Exhibit A of the Agreement, Exhibit A-1 of Amendment No. 1 and Exhibit A-2 of Amendment No. 2. <br />3. Paragraph 4(B) is modified to read as follows: <br />The Contractor shall be paid such amounts and in such manner as described in Exhibit B of the <br />Agreement, Exhibit B-1of Amendment No. 1, Exhibit B-2 of Amendment No. 2 and Exhibit B-3 <br />of this amendment. <br />4. Paragraph 4(D) is modified to read as follows: <br />Total compensation, including all services and expenses, shall not exceed a maximum of <br />One Million, Nine Hundred Ninety Thousand, Nine Hundred Sixty -Five Dollars <br />($1,990,965). <br />5. All terms, conditions and provisions of the Agreement remain in full force and effect except as <br />expressly modified by this Amendment. <br />6.
