5 (3) If Ecology needs to extend the Duration of this Owner Agreement, Ecology will provide the City an amendment to the Owner Agreement in writing to formally authorize an extension of the Duration of Owner Agreement. Hold Haiiiiless Each Party shall defend, protect, and hold harmless the other Parties from and against all claims, suits or actions arising from the negligent acts or omissions of its employees and/or authorized representatives while perfoiuiing under the terms of this Agreement. (4) No Employee or Agency Status Created: Ecology warrants that neither it and nor any employee, agent, consultant, contractor, or subcontractor retained by Ecology is an employee or agent of the City. (5) No management or direction by the City of an employee, agent, consultant, contractor, or subcontractor retained by Ecology will be permitted during the Duration of Owner Agreement, unless specifically authorized in writing by Ecology. Compliance with Applicable Laws and Regulations: Ecology agrees that the Work to be performed pursuant to this Owner Agreement shall be performed in a workman -like manner and in compliance with any federal, state, or local laws, ordinances, or regulations which may also be applicable. (6) Expense: As between the City and Ecology, the expense of performing the Work shall be paid by Ecology. Additional work not specifically included in the Work for the Project shall be the sole responsibility of the City. (7) Responsibilities of City and Any Tenants of City: City responsibilities shall include: 1. Assisting Ecology with communications to the community in regards to the project, as needed. 2. Review all construction related documentation as needed in a timely fashion so as to maintain the project schedule. 3. Removing all fixtures and other equipment obstructing the Work that the City may wish to save or preserve. Obstructing items 3�2
