functions, and generally to perform all such acts as may be necessary to <br /> carry out the objects of the creation of the Consortium. <br /> ii. Overseeing administration of the fiscal arrangements as set forth in this <br /> Agreement. <br /> iii. Directing, guiding and overseeing the actions of the Consortium Advisory <br /> Committee. <br /> iv. Communicating with the legislative bodies of the Agencies. <br /> v. Designating the Lead Agency in accordance with Section 4.1. <br /> (b) The Administrative Board shall elect a Chair from of its members, who shall serve <br /> a two (2) year term. The Chair shall have responsibility to schedule the meetings <br /> of the Administrative Board, to serve as presiding officer at board meetings, to <br /> gather information and to prepare the agenda for board meetings. <br /> (c) The Administrative Board shall meet a minimum of four(4)times per year. Agency <br /> Representatives shall be duly notified of scheduled Administrative Board meetings <br /> when they have been notified of the meeting date, time, and location no less than <br /> 30 days prior, in the method and manner as prescribed in this agreement for official <br /> notifications or in person at a previous Administrative Board meeting. (Note: this <br /> does not preclude the use of additional methods of notification.) Provided, <br /> however, in rare circumstances where time is of the essence for the Board to <br /> convene to take actions that are time sensitive and which are required in less than <br /> 30 days, a shorter notice may be provided to Agency Representatives. In such <br /> circumstances all reasonable efforts will be made to provide the maximum amount <br /> of notice feasible. <br /> (d) Each Agency, through its Administrative Board representative, shall have an equal <br /> vote on matters that come before the Administrative Board, except where a <br /> weighted vote is required. Decisions encumbered upon the Administrative Board <br /> shall be arrived at utilizing the following procedures: <br /> i. Decisions shall only be made at a meeting of the Administrative Board <br /> attended by a quorum of Agency representatives, regardless of proxy voting <br /> options utilized. A quorum shall be defined as attendance of 50% plus one <br /> (1) of the Agency representatives to the Administrative Board. <br /> ii. All decisions not specifically requiring a Full Administrative Board vote or a <br /> Super Majority vote, as and where called for in this agreement, shall be <br /> rendered by a simple majority vote of the Administrative Board members in <br /> attendance. <br /> iii. Proxy voting may be allowed should the Administrative Board so elect, <br /> however, the Administrative Board shall adopt and distribute to each <br /> Agency proxy voting rules at least 30 days prior to the allowance of such <br /> voting. <br /> iv. Decisions requiring a Full Administrative Board vote shall require a simple <br /> majority affirmative vote of all Administrative Board Member Agency <br /> representatives. <br /> v.
