The City owns the property to be used, has determined that the Project is categorically exempt from <br /> environmental review under SEPA, and has secured all required permits for the Project. <br /> K. Construction is underway as of the date of this agreement and the Project is scheduled to be <br /> complete by April 2020. <br /> L. The Parties have determined that it is in the public interest for the City to construct the Project and <br /> for Sound Transit to provide funding. <br /> NOW,THEREFORE, in consideration of the terms and conditions set forth herein,the Parties agree to <br /> the following: <br /> AGREEMENT <br /> 1 Funding Amount. Sound Transit will contribute construction funding to the City in the amount of six <br /> hundred thirty nine thousand nine hundred forty eight dollars($639,948) as the"Project <br /> Contribution". This contribution funding is for the Project shown in Exhibit A and as described in <br /> this Agreement. <br /> 2 City Work.The City is solely responsible for the environmental review,design, permitting, <br /> construction, project and construction management of all the Project elements including, but not <br /> limited to, procurement and construction administration.The City will be the owner of the <br /> completed Project. <br /> 3 Schedule.The City shall complete construction of the Project before December 31, 2020, unless <br /> otherwise mutually agreed by the Parties <br /> 4 Sound Transit Role.Sound Transit will coordinate with Project staff to promote integration with the <br /> current transit system and future high capacity transit projects and reimburse the City for <br /> construction expenses consistent with Section 11. <br /> 5 Designated Representatives.To ensure effective intergovernmental cooperation and efficient <br /> Project review,the Parties shall each designate a single representative responsible for <br /> communications between the Parties("Designated Representative"). Each Party's Designated <br /> Representative is identified in Exhibit B. The Designated Representatives shall coordinate with each <br /> other and communicate regularly to discuss the status of the tasks to be performed, identify <br /> upcoming Project decisions and any information or input necessary to inform those decisions, <br /> discuss any substantial changes to the Project, and resolve any issues or disputes related to the <br /> Project,consistent with this Agreement. The Parties reserve the right to change Designated <br /> Representatives by providing notice to the other party during the term of this Agreement. <br /> 6 Operations and Maintenance.The City shall be responsible for all operations and maintenance costs <br /> of the completed Project until the Sound Transit owned parking lot known as"Lot C" at Everett <br /> Station (shown on Exhibit A) is at Capacity. "Capacity" will be reached when there are fewer than <br /> ninety(90) empty parking spots in Lot C for three (3) consecutive months. The City will measure <br /> Capacity by weekday parking use counts, which will be averaged by the number of weekdays during <br /> the three-month period.
