B. The Grant <br /> In reliance upon Grantee's representations and warranties,and subject to the terms and condition. contained in <br /> this Agreement,the Grantor hereby agrees to cause funds to be advanced to Grantee in a maximu aggregate <br /> principal amiunt equal to ten Thousand Dollars($10,000)("Grant"),solely for the purposes set fo h in Section C <br /> below. Grantee shall have the right to receive Grant funds only pursuant to the terms and conditi.ns of this <br /> Agreement. <br /> C. Purpose of Grant <br /> The Granteel'shall use the funds granted hereunder solely for working capital of the Grantee to rei burse the costs <br /> of business interruption caused by required coronavirus closures, pursuant to the Budget set forth n Exhibit A, <br /> "Grant Budget."No funds shall be used for the purchase/installation of equipment,construction o realestate, <br /> alteration of existing buildings,or other activity that may impact the natural environment or histor c buildings. <br /> D. Grant Documentation <br /> The Grant shall be evidenced by this Agreement,completed application form,and other documentati•n required by the <br /> Grantor. <br /> II. REPRESENTATIONS,WARRANTIES AND COVENANTS <br /> In order to induce the Grantor to make the Grant, Grantee represents,warrants and covenants as set fe rth below in this <br /> Article II as of the date hereof and during the term of this Agreement. <br /> A. Organizationjof Grantee <br /> Grantee is duly organized and validly existing pursuant to the laws of the State of Washington and i qualified to do <br /> business in and under the laws of the State of Washington.Grantee has the full power and authori' to enter into <br /> this Agreement,to receive money as contemplated herein and to execute and perform the provision. of this <br /> Agreement. The execution;delivery and performance of this Agreement has been duly authorized b all necessary <br /> company action,and no other action of Grantee or any other party is required for the execution,deli ery and <br /> performancq of this Agreement. This Agreement constitutes valid and binding obligations ofGrante:. <br /> B. Compliance with Laws <br /> Grantee will conduct its bu iness affairs in a reasonable and prudent manner and in compliance wit all applicable <br /> laws,ordinances,rules and tegulations and executive orders of federal,state,county or municipal goy'.rnments or <br /> agencies now in force or which may be enacted hereafter. <br /> C. Prohibition Against Receiving Federal Funds <br /> Neither Granftee nor Grantee's owner(s)are prohibited from receivingfederal funds. <br /> D. Accuracy of Information <br /> All of the informationprovided byGrantee <br /> G in support of its request for Grant funds is complete an• accurate and <br /> contains no materially false or misleading information. <br /> III.CONDITIONS PREEDENT TO AND POST GRANT DISBURSEMENT <br /> The Grantor's obligation to perform its duties under this Agreement, including without limitation causing isbutsement of <br /> any funds,shall be subject to the full and complete satisfaction of the following conditions precedent: <br /> A. Grantee's Books,Accounts and Records <br /> Prior to disbursement of Grantfunds and upon request by the Grantor,Grantee will permit the Gran or and its <br /> representatives at any reasonable time to examine Grantee's books,accounts,and records and to ma copies and <br /> memoranda QfGrantee's books,accounts and records in order to evaluate Grantee's compliance with his Agreement. <br /> Documents shall be retained by the Business for no less than six(6)years. <br /> B.
