AMENDMENT NO. 1 <br /> TO <br /> MANAGEMENT AGREEMENT <br /> This Amendment No. 1 to Management Agreement (this "Amendment") is dated <br /> U• q , 2020. It is by and between the City of Everett ("City") and the Village <br /> Theatre ("Theatre"). <br /> RECITALS <br /> A. The City and Theatre are parties to the "Agreement Between the City of <br /> Everett and Village Theatre"dated on or about September 1,2019(the"Agreement"). The <br /> Agreement concerns the Theatre's management of Everett Performing Arts Center,defined <br /> —in the Agreement as the "center." <br /> B. Because of COVID-19 pandemic, the Theatre's use of the Center has been <br /> severely impacted. The purpose of this Amendment is to adjust the Agreement in light of <br /> the pandemic. <br /> AGREEMENT <br /> The City and Theatre agree as follows: <br /> 1. Compensation Adjustments. Because of the pandemic,•the parties agree to <br /> adjust compensation as follows: <br /> A. Effective November 1,2020,and until the Theatre begins Mainstage <br /> performances, the monthly compensation under Section V.B.1 of <br /> the Agreement is reduced from $12,500/month to $6,250/month. <br /> B. Once the Theatre begins Mainstage performances, the monthly <br /> compensation under Section V.B.1 of the Agreement increases from <br /> $6,250/month to the full compensation amount due under Section <br /> V.B.1 of the Agreement, including the CPI increase scheduled for <br /> January 1,2021. If the beginning of Mainstage performances occurs <br /> mid-month, the increase takes effect on the first day of the next <br /> month. <br /> 2. COVID-19 Safe Events. During the time period before the Theatre begins <br /> Mainstage performances, the Theatre will provide community events, visual arts displays <br /> and holiday decor and festivities that are COVID safe. These will include: <br /> • Taking a larger role in Wintertide festivities, including a holiday tree, <br /> decorations and music off the balcony at the Center. <br /> • Taking a larger role with the Wendt& Mayor Art Awards to include <br /> overseeing the event and other production elements and providing an MC <br /> • <br /> • Theatre will make the Center available for art gallery and artist in <br /> residence access, assist with public art management on-site and in <br />
