CITY <br /> AGREEMENT <br /> BETWEEN CITY OF EVERETT AND VILLAGE THEATRE <br /> This Agreement is by and between the City of Everett, a municipal corporation, <br /> (hereafter"City"), and Village Theatre, a non-profit corporation of the State of Washington, <br /> (hereafter"Theatre"). <br /> WHEREAS, City owns the Everett Performing Arts Center(hereafter"Center"), and <br /> desires to have a resident theater company present theatrical productions of high quality and <br /> broad community appeal; and <br /> WHEREAS, City also desires to contract for the services of Theatre administrative <br /> personnel to carry out other duties related to City-controlled activities occurring at the <br /> Center; and <br /> WHEREAS, Theatre is a non-profit performing arts organization which produces <br /> quality live theater and has thirty-nine(39) years of experience in managing theaters and <br /> presenting communities with performing arts entertainment that has broad community <br /> appeal; and <br /> WHEREAS, Theatre successfully managed the Center, presented theatrical <br /> productions of high quality and broad community appeal, and successfully provided theatrical <br /> education and performances for and by the children of the community; and <br /> WHEREAS,the City is desirous of Theatre continuing to manage the Center for the <br /> City and the Theatre is willing to continue its management of the Center for the City; and <br /> NOW,THEREFORE, IN CONSIDERATION of the mutual promises contained <br /> herein and the benefits to be derived by both parties, the parties agree as follows: <br /> I. TERM <br /> This Agreement is effective as of September 1, 2019 and expires on December 31, <br /> 2025, unless terminated sooner as provided herein. <br /> II. THEATRE SERVICES <br /> A. Performing Arts Productions <br /> Theatre shall present performing arts productions during the period from September <br /> 1, 2019 through December 31, 2025. Each calendar year, Theatre shall present not less than <br /> five(5) different productions consisting of a total of not less than thirteen performances each, <br /> i.e., sixty-five(65)performances. At its option, Theatre may present only four(4) different <br /> productions in a calendar year, but Theatre shall still present at least sixty-five(65) <br /> performances during that calendar year. Theatre shall manage all aspects of Everett <br /> Performing Arts Center operations, including Center rentals and Center day-to-day <br /> EVERETT/VILLAGE THEATRE AGREEMENT Page 1 of 10 <br />
