B; The Grant <br /> In reliance upon Grantee's representations and warranties,and subject to the terms-and conditions•contained in, <br /> this Agreement,the Grantor hereby agrees to cause funds to be advanced to Grantee in a maximum aggregate <br /> principal amount equal to Ten Thousand Dollars($10,000) ("Grant"),solely for the purposes set forth in Section C <br /> below. Grantee shall have the right to receive Grant funds only pursuant to the terms and conditions of this <br /> Agreement. <br /> C. Purpose of Grant <br /> TheGrantee shall use the funds granted hereunder solely for working capital of the Grantee to reimburse the costs <br /> of business interruption caused by:required coronay.irus closures,pursuant to the Budget set forth in Exhibit A, <br /> "Grant Budget." No funds shall be used for the purchase/installation of equipment, construction of real estate, <br /> alteration of existing buildings,or other activity that may impact the natural environment or historic buildings. <br /> D. Grant Documentation <br /> The Grantshall be evidenced bythisAgreement,completed applicationform,.and other documentation required bythe <br /> Grantor. <br /> II. REPRESENTATIONS,WARRANTIES-AND COVENANTS. <br /> In order to induce the Grantor to make the Grant, Grantee represents,warrants and covenants as set forth below in this <br /> Article II as of the date hereof and during the term of this Agreement. <br /> A. Organization of Grantee. <br /> Grantee is:duly organized and validly existing;pursuant to the laws of the State of Washington and is qualified to do <br /> business in and under the laws of the State of Washington. Grantee has the full power and authority to enter into <br /> this Agreement,to receive money as contemplated herein and to execute-and perform the provisions of this <br /> -Agreement. The-execution,-del very-and-performance of this Agreement has been duly authorized by all necessary <br /> company action,and no other action of Grantee or any other party is required for the execution,delivery and <br /> performance of this Agreement. This Agreement constitutes valid and binding obligations ofGrantee. <br /> B. Compliance-with Laws <br /> Grantee will conduct its business affairs in a reasonable and prudent manner and in compliance with all applicable <br /> laws,ordinances,rules and regulations and-executive orders of federal,state,county or municipal governments or <br /> agencies-now in-force or which-may be enacted hereafter. <br /> C. Prohibition Against Receiving Federal Funds <br /> Neither Grantee nor Grantee's owner(s)are prohibited from receiving federal funds. <br /> D. Accuracy of Information <br /> All of the information provided by Grantee in support of its.request for Grant funds is complete and accurate and <br /> contains no materially false-or misleading information. <br /> -III.-CONDITIONS PRECEDENT TO-AND.POST'GRANT DISBURSEMENT <br /> The Grantor's obligation to perform its duties under this Agreement, including without limitation causing disbursement of <br /> any funds,shall be subject to the full and complete satisfaction of the following conditions precedent: <br /> A. Grantee's Books,Accounts and Records <br /> Priorto-disbursement of Grant funds and upon request by the Grantor, Granteewill permitthe-Grantorand its <br /> representatives at any reasonable timeto examine Grantee's books,accounts,and records and to make copies and <br /> memoranda of Grantee's books,accounts and records in order to evaluateGrantee's compliance with this Agreement. <br /> Documents shall:be retained'by the Business-for no less than si..(6)years. <br /> B. Grantee's Submission of Invoices and Documentation <br /> Grantee will submit invoices and documentation required by the Grantor to support Grantee's request for <br /> 2. <br />
