The Business has applied for assistance from the Everett CARES Round 3 Small Business Grant Program and relying on the information <br /> provided by the Business,the City has determined that Business is a small business at risk of long-term business injury or closure as a <br /> result of the Coronavirus;and <br /> The Business wishes to receive a grant from the City in the sum of Twenty Thousand Dollars ($20,000)to be used as working capital to <br /> retain jobs,to expand commerce, and to off-set the negative impact of the coronavirus on its business;and <br /> The City has analyzed evidence provided by the Business that there is no duplication of benefits from other sources of federal funds, <br /> such as SBA Paycheck Protection. <br /> NOW,THEREFORE, in consideration of the foregoing Recitals and the covenants, conditions, representations and warranties <br /> contained herein, the parties hereto agree as follows; <br /> I. THE GRANT <br /> A. Eligibility <br /> The Grantee shall comply with all applicable laws,ordinances,codes, regulations, and policies of local,state,and federal <br /> governments,as now or hereafter amended.All funds provided under this Agreement must be used for to reimburse <br /> the costs of business interruption caused by required closures. Grantee must ensure the funds are used specifically <br /> for COVID related impacts. <br /> B. The Grant <br /> In reliance upon Grantee's representations and warranties,and subject to the terms and conditions contained in this <br /> Agreement, the Grantor hereby agrees to cause funds to be advanced to Grantee in a maximum aggregate principal <br /> amount equal to Twenty Thousand Dollars($20,000) ("Grant"), solely for the purposes set forth in Section C below. <br /> Grantee shall have the right to receive Grant funds only pursuant to the terms and conditions of this Agreement. <br /> C. Purpose of Grant <br /> The Grantee shall use the funds granted hereunder solely for working capital of the Grantee to reimburse the costs of <br /> business interruption caused by required coronavirus closures, pursuant to the Budget set forth in Exhibit A, "Grant <br /> Budget."No funds shall be used for the purchase/installation of equipment,construction of real estate, alteration of <br /> existing buildings,or other activity that may impact the natural environment or historic buildings. <br /> D. Grant Documentation <br /> The Grant shall be evidenced by this Agreement,completed application form,and other documentation required by the <br /> Grantor. <br /> II. REPRESENTATIONS,WARRANTIES AND COVENANTS <br /> In order to induce the Grantor to make the Grant, Grantee represents,warrants and covenants as set forth below in this <br /> Article II as of the date hereof and during the term of this Agreement. <br /> A. Organization of Grantee <br /> Grantee is duly organized and validly existing pursuant to the laws of the State of Washington and is qualified to do <br /> business in and under the laws of the State of Washington. Grantee has the full power and authority to enter into this <br /> Agreement,to receive money as contemplated herein and to execute and perform the provisions of this Agreement. <br /> The execution,delivery and performance of this Agreement has been duly authorized by all necessary company action, <br /> and no other action of Grantee or any other party is required for the execution,delivery and performance of this <br /> Agreement. This Agreement constitutes valid and binding obligations of Grantee. <br /> B. Compliance with Laws <br /> Grantee will conduct its business affairs in a reasonable and prudent manner and in compliance with all applicable <br /> laws, ordinances,rules and regulations and executive orders of federal,state,county or municipal governments or <br /> agencies now in force or which may be enacted hereafter. <br /> W V E R E TT Everett CARES Small Business Grant Program ; Round 3 page 2 <br /> /15 HIN Ci70I1 <br />
