EMS Agency will assure that EMS providers have (a) no health issues <br />that prevent them from participating in the clinical experience at Hospital, with reasonable accommodation; and <br />(b) up-to-date influenza shots and immunizations, as required by Hospital policy, including without limitation <br />Hepatitis B, Diphtheria, and Tetanus and a demonstrated negative (i) skin test or (ii) chest x-ray for Tuberculosis <br />before beginning the Clinical Education Program. EMS Agency will have on file, records of positive titer or of <br />immunization administered after 1967 for Rubella and Rubeola for each EMS provider born after 1956. <br />2.7. Scheduling. The days and hours of clinical experience are to be planned by the faculty of EMS <br />Agency in consultation with the CCCE. <br />2.8. Pre -Placement Checks. <br />(a) EMS Agency agrees to request a criminal background check pursuant to applicable <br />Hospital policy (Prov-HR-421) and "Child and Adult Abuse Laws." EMS Agency agrees to provide Hospital <br />with a copy of the criminal background check results. EMS Agency acknowledges that placement of each EMS <br />provider at Hospital is contingent upon provision of the criminal background check results within the timeframes <br />required under Hospital's policy. <br />(b) EMS Agency shall perform excluded provider search on the Office of Inspector <br />General List of Excluded Individuals/Entities (http s : //exclusions. 0± g . hhs. gov/Verificati on. aspx) and the <br />System for Award Management (SAM) site (http://www.sam.gov) for any EMS providers providing <br />treatment, care or services at any Hospital facility. Evidence that each EMS provider is not on the above <br />mentioned excluded provider list is a condition precedent to Clinical Education Program placement. <br />3. Insurance. <br />EMS Agency shall maintain, in the amount of $1,000,000 per occurrence and $3,000,000 in the <br />aggregate, professional and general liability insurance for itself and those EMS providers participating in the <br />Clinical Education Program and shall name Hospital as an additional insured with respect to any risks that <br />are the responsibility of EMS Agency or its EMS providers under the terms of this Agreement. EMS Agency <br />shall also maintain health insurance for its EMS providers. EMS Agency shall provide Hospital with a <br />certificate of insurance evidencing the coverage required by this Agreement. It is understood that a funded <br />self-insurance program is acceptable in lieu of any commercial insurance requirements stated herein. <br />4. Indemnity. <br />Each party to this Agreement shall be responsible for claims and damages to persons or property <br />resulting from acts or omissions on the part of itself, its employees, or its officers and with respect to EMS <br />Agency also for its EMS providers. Neither party assumes any responsibility to the other party for the <br />consequences of any act or omission of any person, firm, or corporation not a party to this Agreement. <br />Neither party to this Agreement shall be considered the agent of the other party. <br />5. Term and Termination. <br />5.1. Term. This Agreement will be in effect for two (2) years, beginning May 15, 2021 and ending <br />May 14, 2023. This Agreement may be renewed for additional two (2) year terms upon the written agreement <br />of both Hospital and EMS Agency. <br />3 <br />
