e. The Contractor shall include the provisions of paragraphs (a) through (e) in every <br /> subcontract, including contracts for procurement and leases of equipment, unless <br /> exempt by applicable federal regulations or directives issued pursuant thereto. <br /> The Contractor shall take such action, including sanctions for noncompliance, <br /> with respect to any Subcontractor as the Owner or relevant federal agency may <br /> direct so as to enforce such provisions. Provided, however, in the event a <br /> Contractor becomes involved in, or is threatened with, litigation with a <br /> Subcontractor or Supplier as a result of the foregoing direction, the Contractor <br /> may request that the Owner or the United States to enter into such litigation to <br /> protect their respective interests. <br /> 18.8 Complete Agreement <br /> A. These Contract Documents contain the complete and integrated understanding and <br /> agreement between the parties and supersedes any understanding, agreement or <br /> negotiation, whether oral or written, not set forth herein. <br /> 18.9 Successors Bound <br /> A. The grants, covenants, provisions and claims, rights, powers, privileges and liabilities <br /> contained in the Contract Documents shall be read and held as made by and with, and <br /> granted to and imposed upon, the Contractor and the Owner and their respective heirs, <br /> executors, administrators, successors and assigns. <br /> 18.10 Effective Date <br /> A. When duly executed by both the Owner and Contractor, this Contract shall be effective as <br /> of the date the Contract is signed by the Mayor of the City of Everett. There is no contract <br /> formed until the Effective Date. <br /> 18.11 Contractor Registration <br /> A.
