The Contractor shall include the provisions of paragraphs (a) through (e) in every subcontract, including contracts for procurement and leases of equipment, unless exempt by applicable federal regulations or directives issued pursuant thereto. The Contractor shall take such action, including sanctions for noncompliance, with respect to any Subcontractor as the Owner or relevant federal agency may direct so as to enforce such provisions. Provided, however, in the event a Contractor becomes involved in, or is threatened with, litigation with a Subcontractor or Supplier as a result of the foregoing direction, the Contractor may request that the Owner or the United States to enter into such litigation to protect their respective interests. 18.8 Complete Agreement A. These Contract Documents contain the complete and integrated understanding and agreement between the parties and supersedes any understanding, agreement or negotiation, whether oral or written, not set forth herein. 18.9 Successors Bound A. The grants, covenants, provisions and claims, rights, powers, privileges and liabilities contained in the Contract Documents shall be read and held as made by and with, and granted to and imposed upon, the Contractor and the Owner and their respective heirs, executors, administrators, successors and assigns. 18.10 Effective Date A. When duly executed by both the Owner and Contractor, this Contract shall be effective as of the date the Contract is signed by the Mayor of the City of Everett. There is no contract formed until the Effective Date. 18.11 Contractor Registration A. Contractor represents and warrants it is a contractor duly registered and in good standing with the Washington State Department of Labor and Industries.
