Section 19. RISK OF LOSS TO PROPERTY. EGM bears all risk of any and all <br /> damage and loss to EGM property being on the Property. <br /> Section 20. MISCELLANEOUS <br /> a. No Warranty. The City does not warrant its title or ownership of the <br /> Property. <br /> b. Reservation of Rights. The City reserves all rights not expressly granted <br /> by this Lease. <br /> c. No Third Party Rights. This Lease does not create any rights in any <br /> third party. <br /> d. No Waiver. No waiver of any default hereunder shall be implied from <br /> any omission by either party to take any action on account of such default if such default <br /> persists or is repeated and no express waiver shall affect any default other than the default <br /> specified in the express waiver and then only for the time and to the extent therein stated. <br /> e. Notice. Notices sent pursuant to this Lease shall be sent to the parties at <br /> the following addresses: <br /> City of Everett <br /> Attn.: Paul McKee <br /> Real Property Dept. <br /> 3200 Cedar St. <br /> Everett, Washington 98201 <br /> Everett Gospel Mission <br /> 3711 Smith Avenue <br /> Everett, WA 98201 <br /> f. No Assignment. This Lease is personal to EGM and may not be <br /> transferred, assigned, conveyed,pledged, encumbered, or hypothecated. <br /> g. Applicable Law and Venue. The laws of the State of Washington shall <br /> apply to this Lease. Venue for any lawsuit arising out of or related to this Lease shall be <br /> in Snohomish County Superior Court, Washington. <br /> h. Entire Agreement; Amendment. This Lease (together with the <br /> Subrecipient Agreement) represents the entire agreement between the parties and <br /> supersedes all other agreements and representations made prior hereto relating to the <br /> subject matter hereof. No amendment hereof shall be binding on either party unless and <br /> until approved in writing by both parties. As of the Effective Date of this Lease, the <br /> Right of Entry dated on or about June 28, 2021 is terminated. <br />
