with a Bests' rating of B+VII. Any exception must be approved by the City.
<br /> If, at any time, the foregoing policies shall fail to meet the above minimum
<br /> requirements, the Agency shall, upon notice to that effect from the City, promptly
<br /> obtain a new policy, and shall submit the same to the City, with appropriate
<br /> certificates and endorsements, for approval.
<br /> G. Verification of Coverage
<br /> 1. The Agency shall furnish the City certificates of insurance and endorsements
<br /> required by this Agreement and any Contract. The certificates and endorsements
<br /> for each insurance policy are to be signed by a person authorized by that insurer
<br /> to bind coverage on its behalf. The certificates and endorsements for each
<br /> insurance policy are to be on forms approved by the City prior to the
<br /> commencement of activities associated with any Contract. The City reserves the
<br /> right to require complete, certified copies of all required insurance policies at any
<br /> time.
<br /> 2. If the Agency is a public entity and is insured through a State of Washington
<br /> approved and recognized cooperative or pool, the City will accept a letter of
<br /> coverage in lieu of a certificate of insurance.
<br /> XXXVII, INDEMNIFICATION
<br /> A. The Agency shall protect, defend, indemnify and hold harmless Snohomish
<br /> County, the City, their its officers, elected officials, agents, employees, and any
<br /> state, federal, or other funding agency from and against any and all claims, suits,
<br /> actions, liability, loss, expenses, damages, and judgments of any nature whatsoever,
<br /> including costs and attorney's fees in defense thereof, for damage to any property or
<br /> business and/or anydeath, injury, sickness or disability to any person, including
<br /> without limitation any employee of the Agency or its Subagencies, caused by or
<br /> arising out of or suffered, directly or indirectly, in connection with the performance of
<br /> this Agreement or any Contract or any act, error, or omission of the Agency, Agency's
<br /> employees, agents, orSubagencies, whether by negligence or otherwise.
<br /> B. The Agency shall assume the risk, liability, and pay all damage, loss, cost, and
<br /> expense of any party, including its employees, arising out of the performance of this
<br /> Agreement and any Contract, except that caused by the sole negligence and/or willful
<br /> misconduct of Snohomish County or the City and/or their employees acting within the
<br /> scope of theiremployment.
<br /> C. With respect to the Agency's obligations to hold harmless, indemnify and defend
<br /> provided for herein, but only as such obligations relate to claims, actions or suits filed
<br /> against the City or Snohomish County, the Agency further agrees to waive its
<br /> immunity under the Industrial Insurance Act, Title 51 RCW, as respects the City and
<br /> Snohomish County only, for any injury or death suffered by the Agency's
<br /> employee(s) caused by or arising out of the Agency's acts, errors or omissions in the
