AMENDMENT NO. 1 <br />PERSONAL SERVICES CONTRACT <br />BETWEEN THE CITY OF EVERETT <br />AND SHARON RICE <br />This Amendment No. 1 is dated for reference purposes July 31, 2021. It is by and <br />between the City of Everett, a municipal corporation under the laws of the State of <br />Washington ("City") and Sharon Rice ("Hearing Examiner"). <br />RECITALS <br />A. The City and Hearing Examiner are parties to the Personal Services <br />Contract dated May 16, 2017 (the "Contract"), under which Hearing Examiner is the City's <br />land use hearing examiner. <br />B. The Hearing Examiner has been reappointed by the Mayor and City Council <br />for an additional four years. Accordingly, the City and the Hearing Examiner desire to <br />amend the Contract for the purpose of extending the Contract for another four years and to <br />make certain other amendments, as set forth below. <br />AGREEMENT <br />The City and Hearing Examiner agree as follows: <br />1. The Contract is amended so that the Contract expires on July 31, 2025. <br />2. The Contract is amended to include the following: <br />The parties acknowledge that the City might make significant changes to <br />Chapter 1.20 EMC and other related parts of the Everett Municipal Code. <br />These changes may have an impact on Hearer Examiner's workload. After <br />the changes to Chapter 1.20 EMC take effect, either party to this Contract <br />may request renegotiation of this Contract by delivery of a written re- <br />negotiation request to the other party. The parties will then re -negotiate the <br />Contract in good faith in light of the changes to Chapter 1.20 EMC and other <br />related parts of the Everett Municipal Code. If the parties are unable for <br />any reason to agree on amendments to this Contract within 90 days after <br />delivery of such request, then either party may terminate the Contract by <br />delivery of 60 days prior written notice. The parties agree that any such <br />termination is for just cause. <br />3. This Amendment may be signed in counterparts, each of which shall be deemed an <br />original, and all of which, taken together, shall be deemed one and the same document. <br />At the sole discretion of the City, the City may consent to the Service Provider's <br />signature on this Amendment being by email, fax, pdf or other electronic means, in <br />which case such Service Provider signature will be deemed an original signature for <br />all purposes. The City will be deemed to have given such consent effective upon <br />execution of this Amendment by the Mayor of the City. <br />
