1. Requirements of Interlocal Cooperation Act <br /> 1.1 Authority for Agreement. This Agreement is authorized by and entered into <br /> pursuant to the Interlocal Cooperation Act, chapter 39.34 RCW. <br /> 1.2 Purpose of Agreement. The purpose and intent of this Agreement is to facilitate <br /> implementation of the Project. The District shall be primarily responsible for: managing the Grant <br /> and the Grant Agreement; acting as the main point of contact on the Grant with the Washington <br /> State Department of Commerce; facilitating reimbursement of Everett Transit expenses for Grant- <br /> eligible work; and evaluating load management, grid optimization and electric rate strategies <br /> regarding the Project for a period of five (5) years. The City shall be responsible for: purchasing <br /> and obtaining the resonant magnet induction charging system; procuring installation services; <br /> coordinating installation of the resonant magnet induction charging system; owning, maintaining <br /> and operating the resonant magnet induction charging system; and providing the District access to <br /> the system for a period of five (5) years. <br /> 1.3 No Separate Entity. The Parties agree that no separate legal or administrative <br /> entities are necessary to carry out this Agreement. <br /> 1.4 Ownership of Property. Except as expressly provided to the contrary in this <br /> Agreement, any real or personal property used or acquired by either Party in connection with the <br /> performance of this Agreement will remain the sole property of such Party, and the other Party <br /> shall have no interest therein. <br /> 1.5 Administrators. Each Party to this Agreement shall designate an individual <br /> ("Administrator"), which may be designated by title or position, to oversee and administer such <br /> parry's participation in this Agreement.
