Either Party may change its Administrator at any time by delivering written notice of such Parry's <br /> new Administrator to the other Party. <br /> 2. Effective Date and Duration <br /> This Agreement shall take effect when it has (i) been duly executed by both Parties, and <br /> (ii) as provided by RCW 39.34.040, either filed with the County Auditor or posted on the City's <br /> or District's Interlocal Agreements website. This Agreement shall remain in effect until all <br /> obligations of the Parties are discharged, unless earlier terminated by either Party pursuant to the <br /> provisions of Section 11 of this Agreement. <br /> 3. District Responsibilities <br /> 3.1 Grant Management. The District will be responsible for procuring the Grant and <br /> for the full execution of the Grant Agreement. The District acknowledges it is the <br /> Contractor/Grantee under the Grant Agreement. The District will ensure compliance with all terms <br /> of the Grant applicable to Contractor/Grantee. The District will be responsible for all Grant <br /> reporting and management. Upon receiving necessary documentation from the City of eligible <br /> Grant expenses that the City incurs (see Section 4.6 for a description of eligible Grant expenses), <br /> the District is responsible for obtaining reimbursement from Commerce for such expenses in <br /> accordance with the Grant Agreement and for delivering such reimbursement to the City. <br /> 3.2 Right to Control the EVSE. During the duration of this Agreement and/or the five <br /> (5) year minimum useful life of the resonant magnet induction charging system, the District shall <br /> have the right to exercise control at any time of the resonant magnet induction charging system <br /> and the right to ensure it is used for the Grant purposes. <br /> 3.3 Grant Match. The Grant was awarded on a 10:1 grant to project match basis. The <br /> District will be responsible for 51%of the match requirement. <br /> 3.4 Evaluation of Charging System. The District will, for a period of five (5) years <br /> from the time the charging system is first utilized by Everett Transit, evaluate load management <br /> and grid optimization strategies compatible with transit service requirements to optimize the <br /> electric grid for this and related EV charging technologies. The District will also use this Project <br /> to evaluate if current electric rate structures are compatible with en-route induction charging <br /> patterns, including a new Time of Day rate for which the City is a pilot participant. <br /> 4. City Responsibilities <br /> 4.1 Prior Approvals. The City shall, at its sole cost and expense but with Grant <br /> reimbursement from the District as set forth in this Agreement, obtain any and all necessary <br /> federal, state or municipal licenses,permits and/or approvals for the installation, maintenance and <br /> operation of the resonant magnet induction charging system.The District shall cooperate and assist <br /> in obtaining all of such licenses, permits and approvals. <br /> 3 <br />
