unless otherwise approved in writing by the City. The District will provide the City <br /> documentation reasonably acceptable to the City for each purchase prior to reimbursement. <br /> 4.2 District Responsibility for Purchased Items. The District is solely responsible for <br /> all items purchased with the Grant funding under this Agreement,including without limitation the <br /> maintenance, operation and insurance for all drones and other purchased items. <br /> 4.3 Project Cost Overruns. If Project costs incurred by the District exceed $47,393.00, <br /> those excess costs will be the responsibility of the District. <br /> 4.4 Reimbursement Deadline. All eligible Grant expenses must be incurred by District <br /> no later than May 31,2022. The deadline for final reimbursement invoice from the District is also <br /> May 31, 2022. <br /> 4.5 Project Report. Within 90 days after the District has received the complete <br /> reimbursement under this Agreement, the District will provide the City with a completed project <br /> report that will include the following: <br /> o Written narrative outlining steps taken <br /> o Pictures of purchased items and/or training <br /> o Code on report: Q4 2020 14.2 <br /> 5. General Provisions <br /> 5.1 Record Retention. Each Party following completion of the Project shall maintain <br /> accurate records related to the Project for a period equal to the minimum required pursuant to either <br /> state or federal requirements, whichever is applicable. <br /> 5.2 Independent Contractor. Each Party will perform all work and services under this <br /> Agreement as an independent contractor and not as an agent, employee, or servant of the other <br /> party. Each Party has the express right to direct and control its own activities in providing the <br /> agreed work and services in accordance with the tei and conditions of this Agreement. <br /> 6. Insurance <br /> Each Party shall maintain its own insurance and/or self-insurance for its liabilities from <br /> damage to property and or injuries to persons arising out of its activities associated with this <br /> Agreement as it deems reasonably appropriate and prudent. <br /> 7. Compliance with Laws and Grant Requirements <br /> In the performance of its obligations under this Agreement, each Party shall comply with <br /> all applicable federal, state, and local laws, rules and regulations and shall comply with all Grant <br /> requirements. <br /> 8.
