RESOLUTION NO. <br />EVERETT <br />WASH I NGTON <br />A RESOLUTION Establishing Guidelines for Execution of Contracts, Bonds, and Instruments in <br />Accordance with Section 4.14 of the City Charter <br />WHEREAS, <br />A. The City Council has adopted or will shortly adopt a resolution the establishes policies regarding <br />use and acceptance of electronic signatures for City business purposes. <br />B. In addition, the City in 2022 will implement an electronic contract management system. <br />C. Section 4.14 of the City Charter contains certain requirements regarding execution of contracts, <br />bond, and instruments: <br />All written contracts, bonds and instruments of every kind and description to which the <br />City shall be a party shall be approved as to form and legality by the City Attorney, and <br />executed in the name of the City by the Mayor or, in accordance with written guidelines <br />approved by Council, by his or her Chief Administrative Assistant or designated <br />department head(s), and attested by the Clerk and when necessary, shall be <br />acknowledged by such officers. <br />D. The Council recognizes that, with the advent of electronic transactions and electronic contract <br />management systems, situations arise where it is be appropriate and efficient for the Chief <br />Administrative Assistant and designated department head(s) to execute contracts, bonds and <br />instruments in the name of the City. <br />E. The Council further recognizes that approval of unified guidelines in accordance with <br />Section 4.14, covering execution of contracts, bond, and instruments by the Chief <br />Administrative Assistant and designated department head(s), will increase efficiency and ease <br />administrative burdens. <br />F. Accordingly, the Council desires to adopt, in accordance with Section 4.14 of the City Charter, <br />guidelines for execution of contracts, bonds, and instruments by the Chief Administrative <br />Assistant and designated department head(s), as shown in the guidelines attached as Exhibit "A" <br />to this Resolution. <br />
