that Landlord intends to disclose and the date when the disclosure will occur. If Tenant desires that the <br /> Confidential Information so described not be disclosed,Tenant shall commence an action in Snohomish <br /> County Superior Court before the disclosure date. Notwithstanding anything to the contrary in these <br /> Lease, the Landlord has no liability whatsoever to Tenant for the disclosure or retention of any <br /> Confidential Information when that disclosure or retention is consistent with the Transparency Acts or <br /> with an order applying the Transparency Acts entered by the Snohomish County Superior Court or a <br /> Washington appellate court. <br /> 20. General Provisions. <br /> 20.1. Successors and Assigns;Assignment by Tenant. This Lease shall apply to and <br /> be binding upon Landlord and Tenant and their respective successors and assigns. Tenant shall not <br /> sublet the whole or any part of the Premises,nor assign this Lease,or any part thereof,without the prior <br /> written consent of Landlord,which consent may be withheld at Landlord's sole discretion. This Lease <br /> is not assignable by operation of law. Notwithstanding anything to the contrary contained in this <br /> Section,Tenant may change its name,branding,and state of incorporation at any time during the term. <br /> Tenant may also assign this Lease to an affiliate, parent, subsidiary or Tenant related party without <br /> obtaining Landlord's consent, so long (1) the Tenant provides at least 30 days prior written notice, <br /> identifying the assignee,and(2)such affiliate,parent,subsidiary or Tenant related party is a non-profit <br /> corporation or similar entity primarily operating for educational purposes. Any assignment made by <br /> Tenant will not become effective until the assignee, in a written instrument acceptable to Landlord at <br /> Landlord's reasonable discretion,assumes this Lease and agrees to perform and be bound by all of the <br /> obligations of Tenant accruing under this Lease from and after the date of assignment. <br /> 20.2. Assignment by Landlord. In connection with a sale or transfer of the Building, <br /> Landlord shall have the right to assign and transfer,in whole or in part,its rights and obligations under <br /> this Lease and in any and all of the Building and the real property upon which it is situated. If Landlord <br /> so assigns this Lease or sells or transfers any or all of the Building,Landlord shall,upon consummation <br /> of such assignment or transfer be released automatically from any liability under this Lease for <br /> obligations to be performed or observed after the date of the assignment or transfer. After the effective <br /> date of the assignment or transfer, Tenant must look solely to Landlord's successor-in-interest for all <br /> liability and obligations hereunder. Provided Tenant is not in default beyond any applicable cure or <br /> grace period, any such assignment or transfer by Landlord or any successor landlord shall not disturb <br /> Tenant's possession of the Premises or otherwise modify the terms of this Lease. <br /> 20.3. Entire Agreement. This Lease contains all of the covenants and agreements <br /> between Landlord and Tenant relating to the Premises. No prior or contemporaneous agreements or <br /> understanding pertaining to the Lease shall be valid or of any force or effect and the covenants and <br /> agreements of this Lease shall not be altered,modified or added to except in writing signed by Landlord <br /> and Tenant. <br /> 20.4. Waiver. No waiver by either party of any of the provisions of this agreement <br /> shall be effective unless explicitly set forth in writing and signed by the party so waiving. Except as <br /> otherwise set forth in this agreement,no failure to exercise, or delay in exercising, any right,remedy, <br /> power, or privilege arising from this agreement shall operate or be construed as a waiver thereof, nor <br /> shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any <br /> other or further exercise thereof or the exercise of any other right,remedy,power,or privilege. <br /> 20.5. Governing Law. This Lease will be governed by and construed and interpreted <br /> in accordance with the laws of the state in which the Property is located. <br /> 13 <br />
