EMPOWER <br /> RETIREMENT <br /> personnel in connection with the performance or receipt of Services hereunder or as directed or approved <br /> by the other party or its agents. Confidential Information does not include: information that is otherwise in <br /> the public domain through no action of the non-disclosing party; information that is acquired by a party from <br /> a person other than the other party or its agents without any obligation of confidentiality; or information that <br /> is independently developed by a party without reference to the Confidential Information of the other party. <br /> 5.2. In the event a party is required to make a legally required disclosure of the other party's <br /> Confidential Information, such party shall notify the other party of the disclosure as soon as reasonably <br /> practicable, and shall cooperate with any efforts by such party to obtain protective treatment of such <br /> Confidential Information to the extent permitted by law. The foregoing shall not apply to broad-based <br /> regulatory examinations associated with a party's general business or operations, to disclosures made in <br /> conjunction with a law enforcement investigation, or where notice is prohibited by law. <br /> 5.3. Empower and Plan Sponsor each agree to maintain and hold in confidence all Nonpublic <br /> Personal Information received in connection with the performance of Services under this Agreement("NPI"). <br /> Empower and Plan Sponsor agree that their collection, use and disclosure of any and all NPI is and will be <br /> at all times conducted in compliance with all applicable data protection and/or privacy laws, rules and/or <br /> regulations. NPI includes personally identifiable financial information as defined by Title V of the Gramm- <br /> Leach-Bliley Act. Plan Sponsor authorizes Empower to disclose NPI to its affiliates, service providers, and <br /> to other Plan service providers, in accordance with Empower's Privacy Notice, a copy of which is attached <br /> to this Agreement. <br /> 5.4. The parties will use best efforts to secure NPI through the use of appropriate physical and <br /> logical security measures, and will take all commercially reasonable organizational and technical steps to <br /> protect against unlawful and unauthorized processing of NPI. <br /> 5.5. The parties will promptly notify the other in the event of (i) any confirmed breach of the <br /> party's security measures that results in unauthorized access to or theft of NPI; (ii) the consequences of <br /> the breach, including (without limitation) any potential impact on the other party's security measures, <br /> systems, data (including but not limited to NPI) or the Empower Software (defined above); and (iii) the <br /> corrective action taken to remedy the breach. In addition to the foregoing, Plan Sponsor will notify Empower <br /> immediately upon discovering a compromise of the security and/or log-on credentials of any Plan Sponsor <br /> employee or agent that has a plan administration role in Empower's system. <br /> 5.6. Plan Sponsor acknowledges that Empower maintains security and fraud mitigation <br /> protocols (such as multi-factor authentication) designed to comply with statutory obligations and to <br /> safeguard Participant identities, Participant accounts, or access to Empower Software. Empower may <br /> update these protocols as needed to address new or evolving threats and statutory obligations. Plan <br /> Sponsor agrees to cooperate with Empower to implement, support, or otherwise cooperate in the <br /> implementation of any such updates,changes or enhancements.To the extent Empower offers Participants <br /> protection against account losses that result from unauthorized transactions,such protection is not available <br /> if Plan Sponsor fails to meet the requirements of this provision, or if the loss resulted from a compromise <br /> of the systems or security protocols of Plan Sponsor or its third party service providers (other than <br /> Empower). <br /> SAGWTPACOGOV0521 <br /> 7 <br />
