behalf of Adviser and to deduct fees from Managed Account Participant accounts in accordance with the service <br /> elections and fees described in Schedule B. <br /> 4.3. Adviser may provide additional services pursuant to instruction or direction from the Plan Sponsor.Any <br /> fees for such additional services will be agreed upon by Adviser and the Plan Sponsor prior to the provision of additional <br /> services. <br /> 5. Confidential Information <br /> 5.1. In order to perform the Services, both parties may have access to certain information of the other <br /> party, including, without limitation, trade secrets, commercial and competitively sensitive information of the party <br /> related to business methods or practices, and proprietary software, websites, programming techniques, <br /> documentation and training materials owned or licensed by the party("Confidential Information"). For the purpose of <br /> clarity, any software or website made available by Adviser, including software licensed by third parties ("Adviser <br /> Software") is Confidential Information of Adviser. The parties mutually agree to hold all Confidential Information of <br /> the other party in confidence and not to disclose any Confidential Information of the other party to anyone except the <br /> parties' affiliates, suppliers, and respective personnel in connection with the performance or receipt of Services <br /> hereunder or as directed or approved by the other party or its agents. Confidential Information does not include: <br /> information that is otherwise in the public domain through no action of the non-disclosing party; information that is <br /> acquired by a party from a person other than the other party or its agents without any obligation of confidentiality; or <br /> information that is independently developed by a party without reference to the Confidential Information of the other <br /> party. <br /> 5.2. In the event a party makes an unauthorized disclosure or use of Confidential Information of the other <br /> party,such party shall notify the other party of the disclosure as soon as reasonably practicable. In the event a party <br /> is legally compelled to disclose Confidential Information, the party shall notify the other and cooperate with any <br /> efforts by such party to obtain protective treatment of such Confidential Information to the extent permitted by law; <br /> provided that the foregoing shall not apply to broad-based regulatory examinations associated with a party's general <br /> business or operations. Both parties acknowledge that failure to comply with this section may cause irreparable <br /> harm to the party whose Confidential Information is disclosed and agrees that any court having jurisdiction may enter <br /> an order for equitable relief, including an injunction or an order for specific performance in the event of actual or <br /> threatened breach of these provisions. This provision shall not apply to information required to be disclosed pursuant <br /> to applicable law, legal subpoena,or other lawful process,or as permitted by Adviser or Plan Sponsor,as applicable, <br /> in writing. <br /> 6. Privacy& Data Security <br /> 6.1. Plan Sponsor acknowledges and agrees that Adviser may receive Participant data from any and all <br /> Participants, including those Participants that are not enrolled in the Managed Account Service or the Online Advice <br /> Service (as described in Schedule B) and from Plan Sponsor or its authorized agent or advisors. Plan Sponsor <br /> authorizes Adviser to obtain all necessary data from Participants, Plan Sponsor, Plan Sponsor's agents or advisors, <br /> and Adviser's affiliates, including the Plan's recordkeeper, Great-West. <br /> 6.2. Adviser and Plan Sponsor agree to maintain and hold in confidence all Nonpublic Personal <br /> Information("NPI")received in connection with the performance of Services under this Agreement. Adviser and Plan <br /> Sponsor agree that their collection, use and disclosure of any and all NPI is and will be at all times conducted in <br /> compliance with all applicable data protection and/or privacy laws, rules and/or regulations. NPI includes personally <br /> identifiable financial information as defined by Title V of the Gramm-Leach-Bliley Act ("GLBA"). Adviser shall not <br /> use or disclose NPI to any third party, other than to its affiliates and third party service providers, and to other Plan <br /> service providers, without Plan Sponsor's written consent, except as permitted or required by law. <br /> 6.3. The parties will use best efforts to secure NPI through the use of appropriate physical and logical <br /> security measures, and will take all commercially reasonable organizational and technical steps to protect against <br /> unlawful and unauthorized processing of NPI.
