EMPOWER <br /> RETIREMENT <br /> has affirmatively elected on the participant website, to the email address provided by the Participant or, if <br /> neither, via regular mail. <br /> By providing Empower with a Participant's work utilized email address, the Plan Sponsor confirms <br /> that delivery of plan-related documents to such work utilized email address satisfies the Department of <br /> Labor's regulations (§2520.104b-1) regarding electronic delivery of plan-related documents. Participants <br /> may elect on the participant website or by contacting an Empower customer services representative to <br /> receive quarterly statements and plan notices via regular mail at any time. <br /> 3.10. Review of Reports. Plan Sponsor and Participants are responsible for reviewing and <br /> monitoring reports made available by Empower(whether provided electronically, by posting on an Empower <br /> website, or otherwise) regarding Plan activity, transactions and investments to verify that the investments <br /> indicated in the reports properly reflect the investment directions provided by the Plan Sponsor or the <br /> investment elections made by Participants, as applicable. Empower's performance of its obligations under <br /> this Agreement shall be conclusively presumed to be accurate unless Plan Sponsor or a Participant <br /> provides Empower with proper notice of discrepancies. <br /> 3.11. Error Correction. If Empower makes an Investment Option transaction error, and it is <br /> brought to Empower's attention in a timely manner, Empower will, at its own expense, retroactively correct <br /> the error by putting the Participant back in the financial position where the Participant would have been had <br /> the error not occurred. In the case of other Empower errors, Empower will, within a reasonable time after <br /> being notified of or discovering such error, notify the Plan Sponsor and, as authorized by Plan Sponsor, <br /> take commercially reasonable steps consistent with Internal Revenue Service, Department of Labor and <br /> other agency guidelines,where applicable, to correct such error. Empower will have no liability for an error <br /> or mistake caused by acts or omissions of the Plan Sponsor, Participants or any other third party. If a <br /> correction is made at Empower's expense and results in a net loss, Empower will bear the loss. However, <br /> if the correction results in an unintended net gain,Empower will retain the gain as compensation for services <br /> provided to the Plan and to defray costs of servicing the Plan including offsetting net losses as described <br /> above. <br /> 3.12. Requirement to Appoint a Trustee. Plan Sponsor is responsible for determining whether <br /> to appoint a trustee to provide trust services to the Plan and for selecting the trustee. If Plan Sponsor <br /> chooses to fund the Plan exclusively through a Great-West group annuity contract, if available, the annuity <br /> contract may be used in lieu of a separate trust agreement, and Plan Sponsor will be considered the <br /> deemed trustee. If a trust agreement is used, Plan Sponsor agrees to have the trustee execute such <br /> agreement and all other documents required to establish and operate the trust. <br /> Any trustee or custodian selected by Plan Sponsor for the Plan must be able to interface with <br /> Empower's recordkeeping system in a"passive" role and all assets must be transferred to the omnibus <br /> custodial bank account. Plan Sponsor agrees to require the trustee or custodian to provide to Empower <br /> all information in the possession of the trustee or custodian that is necessary for the performance of <br /> Empower's duties under this Agreement. <br /> If Plan Sponsor chooses to retain Great-West Trust Company, LLC ("Great-West Trust")to serve <br /> as a Plan trustee or custodian, Plan Sponsor agrees to execute any and all documents required to <br /> establish the trust or custodial account.
