EXHIBIT 1 TO SERVICE SCHEDULE <br /> DEFINITIONS IN THIS SERVICE SCHEDULE UNLESS THE CONTEXT OTHERWISE REQUIRES: <br /> "After Hours Support Fee"A fee charged for support requests that occur outside of TNS's Standard Support Hours <br /> per the Service Levels set forth in Exhibit 4; <br /> "Accounts Payable Email"means the Accounts Payable Contact Email address specified in this Service Schedule; <br /> "Client"The Company,Individual or Commercial Entity for which TNS makes this Agreement with as set forth in <br /> Exhibit 2. <br /> "Clients Payment Account"means the account nominated in Exhibit 2 of this Service Schedule(or as subsequently <br /> notified by the Client to TNS)as the account to which amounts payable to the Client,or to which amounts <br /> may be debited or adjusted as a result of transacting through TNS are to be credited,debited and adjusted; <br /> "Business Day"means a day other than a Saturday, Sunday or public,special or bank holiday int the United States; <br /> "Card Holder"means a person with a credit card,debit card or other means of electronic payment who attempts to <br /> enter into,or enters into,a Transaction with the Client by use of the Services; <br /> "Commencement Date"means the date specified in Exhibit 2 of this Service Schedule; <br /> "Consultancy Rate"The agreed rate of consultancy for any hourly services such as Project Management, <br /> Development,Quality Assurance and other activities as specified in Exhibit 2 of this Service Schedule; <br /> "Fee"means all fees and charges payable by the Client in accordance with this Service Schedule; <br /> "Hardware"means any physical hardware terminals,pin pads and card readers supplied by a third party and used by <br /> Client in connection with the Services; <br /> "P2PE"Point-to-point encryption of cardholder data <br /> "P2PE Solution"A combination of secure devices,applications and processes that encrypt cardholder data from a PCI <br /> approved point of interaction(POI)device through to decryption <br /> "Personal Data"may include contact name,phone number,email or postal address.For definitions relating to a <br /> specific geography,refer to local Data Privacy regulations <br /> "Payment Card Data"means card data and track data including PAN,Expiry and where applicable CVV. <br /> "Payment System"means the system whereby the Client can request,and TNS arranges,payments by Card <br /> Holders to the Client using the secure electronic payment service provided by TNS. <br /> "PIM"An instruction manual attached hereto as Exhibit 5,which was prepared by the P2PE Solution Provider in <br /> accordance with P2PE Standard to instruct its customers and resellers/integrators on secure P2PE Solution <br /> implementation,to document secure configuration specifics and to clearly delineate vendor,reseller/integrator <br /> and customer responsibilities for installing and or using P2PE Solutions. <br /> "POI"and"POI Device"means Point Of Interaction and consists of hardware and software which is hosted in <br /> Client's equipment to enable a Card Holder to perform a card transaction. <br /> "Services"means the services as described in Section I of this Service Schedule; <br /> "Service Level Agreement"means the service levels outlined in Exhibit 4; <br /> 10 <br />
