SERVICE SCHEDULE 1 <br /> UNATTENDED PAYMENT GATEWAY SERVICE <br /> When used herein,the defined term"Service Schedule"shall include this Service Schedule and the following exhibits: <br /> Exhibit 1—Defined Terms <br /> Exhibit 2—Fees&Charges <br /> Exhibit 3—Terms&Conditions <br /> Exhibit 4—Service Levels <br /> Exhibit 5—P2PE Instruction Manual <br /> SECTION I—SERVICE SCHEDULE TERM <br /> A. The term of this Service Schedule will commence on the Commencement Date and will continue for the period set <br /> forth in Exhibit 2,unless terminated sooner as provided under this Service Schedule and/or the Agreement("Service <br /> Schedule Initial Term"). <br /> B. The term of this Service Schedule will automatically renew for successive renewal periods of twelve(12)months <br /> each(each a"Service Schedule Renewal Term"),unless either party terminates this Service Schedule by giving <br /> written notice of termination to the other party at least ninety(90)days prior to the effective date of any such Service <br /> Schedule Renewal Term. <br /> SECTION II—DESCRIPTION OF THE SERVICES <br /> TNS will provide Client a gateway service that enables Client to transmit Transactions to financial institutions or payment <br /> processors(the"Services"). As part of Services TNS will provide: <br /> (i) a terminal software application,which integrates to the TNS gateway using defined messages to provide the <br /> payment card details to be processed;and <br /> (ii) terminal monitoring and support software maintenance services,such as inactive notifications and compliance <br /> maintenance of terminals connected to the Services. <br /> The parties wish to record the terms of their agreement and understanding for: <br /> (i) TNS to provide consulting and other services to the Client as may be authorized from time to time; <br /> (ii) TNS to process card transactions for the Term of this Service Schedule. <br /> 9 <br />
