4. THIRD PARTY SOFTWARE <br /> TNS shall use its reasonable endeavors to assist the Client to support Third Party Software,but shall not be <br /> responsible for support of the Third-Party Software or the Operating System Software and will not be <br /> responsible for any deficiencies in such software,such responsibility falls solely on the Client. <br /> TNS will not be liable for loss or damage suffered by the Client arising out of a deficiency or change in any Third- <br /> Party Software or Operating System Software or a breach by the third party of its obligations under the <br /> applicable third-party License. <br /> 5. CLIENT OBLIGATIONS <br /> The Client will: <br /> 5.1.1. subject to the Client's confidentiality requirements,provide TNS with access to all relevant <br /> information,documents,computer systems and data and any other material which is necessary to <br /> allow TNS to perform the Services; <br /> 5.1.2. provide TNS or arrange for TNS to receive in a timely manner documentation and software in <br /> regards to the integration components and facilities provided by any Third-Party Systems; <br /> 5.1.3. provide,in a timely manner,any information reasonably required by TNS in order to fulfill TNS's <br /> obligations under this Service Schedule; <br /> 5.1.4. comply with TNS's reasonable directions regarding,making or remedying any adjustments, <br /> errors,corrections,reversals,mistaken payments,overpayments,underpayments,unauthorized <br /> payments and fraudulent payments arising from or in connection with the use of the Services; <br /> 5.1.5. keep secure and not disclose to any other person passwords,encryption keys and all other codes <br /> provided by TNS for use in relation to the Services and exercise reasonable care and skill in the <br /> use,operation,protection,access to and security of any computer or other device used in <br /> connection with the Services; <br /> 5.1.6. monitor and reconcile their Service and payments,notifying TNS within 45 days of the date of the <br /> suspected discrepancy; <br /> 5.1.7. notify TNS immediately of any malfunction or breakdown of any Services; <br /> 5.1.8. not directly engage the services of personnel provided by TNS under this Service Schedule either <br /> during or for a period of six(6)months after the termination of this Service Schedule without the <br /> written consent of TNS; <br /> 5.1.9. comply with all applicable data protection and/or privacy statutes,legislation and regulations. <br /> 5.1.10. comply with the provided P2PE Instruction Manual(PIM)if applying the TNS P2PE Solution,by <br /> implementing and maintaining all P2PE controls responsible for; <br /> 5.1.11. comply with TNS's reasonable directions regarding making or remedying any adjustments,errors, <br /> corrections,reversals,mistaken payments,overpayments,underpayments,unauthorised <br /> payments or fraudulent payments arising from or in connection with the use of the Services; <br /> 5.1.12. maintain inventory-control and monitoring procedures to accurately track POI devices in their <br /> possession; <br /> 5.1.13. physically secure POI devices awaiting deployment or otherwise not in use; <br /> 16 <br />
