EXHIBIT A <br /> Scope of Services <br /> EVERETT LANDFILL GAS SYSTEM <br /> OPERATIONS AND MAINTENANCE <br /> SUPPORT <br /> Riverfront Phase 1, LLC ("Riverfront") has contacted Herrera Environmental Consultants (Herrera) <br /> to prepare a scope of work and cost estimate to provide professional services to Riverfront and <br /> the City of Everett (the City). Riverfront is currently underway in developing a significant portion <br /> of the area over Everett Landfill, a closed municipal landfill in Everett, WA. Riverfront (and its <br /> affiliates) and the City are parties to a Landfill and Environmental Indemnification Agreement <br /> (LEIA). The LEIA sets forth rights and responsibilities related to various environmental mitigation <br /> systems within the former landfill, including responsibilities for design, construction, and <br /> operation of a landfill gas (LFG) management system. All system Operations and Maintenance <br /> (O&M) and monitoring will be conducted in compliance with Ecology Consent Decree <br /> requirements. <br /> Table 1 from the LEIA describes the long-term O&M responsibilities of each party and attached <br /> as Exhibit C. <br /> Riverfront and the City will coordinate management of site-wide LFG system O&M, with Herrera <br /> providing comprehensive O&M services for both parties. <br /> This Scope of Work does not amend the allocation of responsibilities between the City and <br /> Riverfront in the LEIA. This Scope of Work only designates services to be provided by Herrera <br /> as determined by Riverfront and City during the term of this contract, as is not to be used to <br /> interpret any allocation under the LEIA. <br /> In general, Herrera shall: <br /> • Be responsible for operation of the complete system, including the Header System and <br /> Collection System throughout the Landfill Property, for maintenance of the alarm system, <br /> and for performance of all other monitoring, operation and maintenance required by the <br /> 1 <br />
