FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT This First Amendment to Professional Services Agreement ("Amendment") is effective September 1, 2022 ("Amendment Effective Date"), by and between Alliant Insurance Services, Inc.("Alliant"), and the City of Everett ("City'). Alliant and City may be referred to in this Amendment individually as a "Party" and together as the "Parties." WHEREAS, the Parties entered into that certain Professional Services Agreement, effective September 1, 2019 (the "Agreement"); and WHEREAS, the Parties desire to amend the Agreement to extend the term of the Agreement and update the compensation for services under the Agreement; NOW, THEREFORE, the Parties agree as follows: 1. Definitions. Capitalized words that are not otherwise defined in this Amendment have the meanings originally ascribed to them in the Agreement. 2. Amendment. a. Section 3 of the Agreement is hereby deleted in its entirety and replaced with the following: 3. Term. Unless terminated in accordance with this Section 5, this Agreement will commence as of September 1, 2019 and will continue until September 1, 2025. b. Section 4(B) of the Agreement is hereby deleted in its entirety and replaced with the following: B. Service Provider shall be paid such amounts and in such manner as follows: For professional services described under "Scope of Services" in Attachment A (collectively, the "Services") for the period from September 1,2019 through August 31, 2022, an annual fee of $84,893 payable in twelve monthly installments. For the period from September 1, 2022 through August 31, 2023, the City shall pay Service Provider an annual fee of $90,000, payable in twelve monthly installments of $7,500, in exchange for the Services. For the period from September 1, 2023 through August 31, 2024, the City shall pay Service Provider an annual fee of $94,500, payable in twelve monthly installments of $7,875, in exchange for the Services. For the period from September 1, 2024 through August 31, 2025, the City shall pay Service Provider an annual fee of $99,225, payable in twelve monthly installments of $8,268.75, in exchange for the Services. c. Section 4(D) of the Agreement is hereby deleted in its entirety. d. Section 6 of the Agreement is hereby deleted in its entirety and replaced with the following: 6. Changes. The City may, from time to time, request to change the scope of Services to be performed by Service Provider hereunder. Such change in the scope of Services (and resulting reasonable change in compensation), shall: (a) be made only in writing and signed by an authorized representative of both parties. 1
