EXHIBIT C <br />THIRD PARTY SUPPORT SERVICES <br />1. Definitions <br />a) "Third Party Partner" means ReUnite Rx (and each of their successor provider(s), if any). <br />b) "Third Party Support Services" means the Carrot Rx Services. <br />2. Terms related to the Carrot Rx Services. <br />Carrot shall offer US -based Members access to a partner (ReUnite Rx, LLC) network that includes pre -negotiated rates on <br />fertility medications at a nationwide pharmacy ("Carrot Rx Services"). Network access also provides Members with ordering, <br />delivery, and unboxing support (created in accordance with Carrot guidance and review). <br />3. General. <br />Third Party Support Services may not be available in all countries. Carrot is not responsible or liable for the actions or <br />omissions of any Third Party Partner, and services performed by such Third Party Partner are not "Services" under this <br />Agreement.
