Page 16 of 31 <br />2.14 SUPPLIER RESPONSIBILITIES <br />The successful Supplier will be responsible for the following tasks: <br />• System configuration, if applicable. <br />• Provide an operational and working solution that meets the City’s requirements. <br />• Provide annual support and maintenance. <br />• Provide full and complete training on the use of the solution. <br />• Provide all technical and user documentation. <br />• Provide licenses and access. <br />2.15 CITY OF EVERETT RESPONSIBILITIES <br />The City of Everett will be responsible for the following tasks: <br />• Coordinate with awarded supplier for implementation. <br />• Monitoring and reviewing the contractor’s performance, reports and data provided under this <br />contract. <br />• Provide system configuration requirements. <br />• Scheduling training. <br />• Provide hardware and resources, if needed. <br />• Retaining ownership of the data. <br />2.16 WORK MADE FOR HIRE <br />All Deliverables, in whole and in part, shall be deemed works made for hire of the City of Everett and <br />Washington State Department of Natural Resources for all purposes of copyright law, and copyright shall <br />belong solely to the City of Everett and Washington State Department of Natural Resources. To the <br />extent that any such Deliverable does not qualify as a work for hire under applicable law, and to the <br />extent that the Deliverable includes materials subject to copyright, patent, trade secret, or other <br />proprietary right protection, Awarded Supplier agrees to assign, and hereby assigns, all right, title and <br />interest in and to Deliverables, including without limitation all copyrights, inventions, patents, trade <br />secrets, and other proprietary rights therein, including renewals thereof, to the City of Everett. <br />2.17 CONTRACT TRANSITION <br />In the event of a follow-on contract award to another supplier, the Proposer shall ensure a cooperative <br />and smooth transition to a new contract provider and shall provide all records, status reports and <br />contract files as agreed with the provided notice of termination. <br />2.18 PRICING ADJUSTMENTS <br />Prices shall remain firm for the duration of the initial Contract period. Reasonable price changes based on <br />market conditions and price, or cost analysis may be requested made on an annual basis after the initial <br />Contract period.
