indemnify and hold harmless Parcel A from any and all claims, liabilities, acts or <br />omissions by Parcel B or any of their employees, agents or contractors, damages, in <br />addition to any expenses or legal fees or costs of any type associated with the <br />connection and maintenance of the connection to the Sanitary Server on Parcel A by <br />Parcel B. <br />7. The Grantee, Parcel B, shall insure that all work is performed in a <br />workmanlike fashion without delay or unnecessary interference with Parcel Ns use of <br />Parcel A. Parcel B shall give Parcel A at least 7 days notice in writing before <br />commencing the connection to the sanitary sewer and insure that any maintenance <br />associated with the connection be scheduled with Parcel A before commencement. <br />Parcel B shall restore the surface of Parcel A's property to the same grade and condition <br />existing prior to the connection to the Sanitary Sewer on Parcel A and this includes any <br />vegetation, landscaping, improvements or structures. All debris created by the <br />connection to the Sanitary Sewer shall be removed by Parcel B at Parcel B's expense in a <br />timely manner. <br />8. Each Parcel Owner grants a limited license for access to their Parcel for the <br />construction and maintenance or repair of any utility or use in the legally described <br />Easement Agreement Area. This limited license is for the construction crews, <br />government officials and parties participating in the cons Wction, installation, repair or <br />maintenance of utilities or other services and thew equipment and personnel within the <br />legally described Easement and Maintenance Area. <br />9. Identity of Parcel A. Legally Described As Attached Exhibit C. <br />10. Identity of Parcel B. Legally Described As Attached Exhibit D. <br />11. Reciprocal Covenants and Conditions. Both Parcel A and Parcel B hereby <br />agree to share any right of way easements or access agreements presently existing or <br />created in the future with the Easement and Maintenance Agreement. Both Parcels <br />hereby agree, represent and agree to indemnify the other or affected Parcel owner for <br />any coats incurred for the breach of this agreement. Furthermore, each parcel owner <br />agrees to indemnify and hold the other parcel owner harmless for any costs or <br />inconvenience resulting from the failure of any existing or future lienholder on their <br />respective Parcel from the consent and cooperation of each and every term of this <br />Easement and Maintenance Agreement, Each Parcel owner is solely responsible for the <br />consent and cooperation of my liedrolder on their respective parcel for upholding, <br />following and implementing this agreement. <br />12. This agreement shall be a covenant running with the land and shall be <br />binding upon all parties and their heirs, legal assigns, successors in interest and assigns <br />forever Any modification or alteration of this agreement must be signed and <br />acknowledged by each Parcel owner. <br />
