Page 14 of 25 <br />2.9 CITY OF EVERETT RESPONSIBILITIES <br />City staff will be responsible for the following: <br />• Providing a primary contact for Supplier. <br />• Provide current pay ranges and job descriptions. <br />• Provide existing available data and reports to support analysis. <br />• Provide existing background data. <br />• Coordinate review of supplier deliverables. <br />2.10 WORK MADE FOR HIRE <br />All Deliverables, in whole and in part, shall be deemed works made for hire of City of Everett for all <br />purposes of copyright law, and copyright shall belong solely to the City of Everett. To the extent that any <br />such Deliverable does not qualify as a work for hire under applicable law, and to the extent that the <br />Deliverable includes materials subject to copyright, patent, trade secret, or other proprietary right <br />protection, Awarded Supplier agrees to assign, and hereby assigns, all right, title and interest in and to <br />Deliverables, including without limitation all copyrights, inventions, patents, trade secrets, and other <br />proprietary rights therein (including renewals thereof) to the City of Everett. <br />2.11 CHANGES IN SCOPE OF WORK <br />The City reserves the right to add or delete similar services such as follow-on reports or report updates to <br />this contract as necessary. In the event of a change, the City of Everett will provide the supplier with a <br />thirty (30) day written notice of such change. <br />In addition, the City of Everett reserves the right to make changes, additions to, or deductions from these <br />Scope of Work provided that they conform to the general scope of the contract. The Supplier will not <br />affect any change without the prior written approval of the City. <br />Out of scope work shall be priced separate, post contract, as needed for unanticipated organizational <br />changes such as reorganizations, organizational chart restructuring, adding departments or divisions, etc. <br />2.12 PRICING ADJUSTMENTS <br />Prices shall remain firm for the initial Contract period. Reasonable price changes based on market <br />conditions and price, or cost analysis may be requested made on an annual basis after the initial Contract <br />period. The Supplier shall supply documentation satisfactory to the City of Everett such as documented <br />changes to the Producers Price Index for the commodity, the Consumer Price Index for the Seattle- <br />Tacoma-Bellevue area, or a manufacturer’s published modification of price change(s). <br />The City of Everett will evaluate this information to determine if revising the price is considered fair and <br />reasonable to the satisfaction of the City. Requests for any such change are to be made in writing to the <br />Procurement Division. A written contract amendment will be issued by the City which will institute the <br />price adjustment, provide the new prices, and establish the effective date for the new prices. <br />The Supplier shall give the City of Everett Procurement Division, sixty (60) calendar days written notice <br />prior to the effective date of the price increase.
