Exhibit A <br />PE-23-AR-01-198 <br />City of Everett <br />Page 9 of 19 <br />To exercise recoupment or repayment, the County shall make a written <br />demand upon the Agency for repayment, the Contractor shall be obligated to <br />repay to the County the funds demanded within sixty (60) calendar days of the <br />demand. No exercise of the County of the right to demand repayment of funds <br />by the Agency shall foreclose the County from making an additional demand <br />for repayment if a return of additional funds is required by the U.S. Department <br />of the Treasury; the County’s right to demand repayment from the Agency may <br />be exercised as often as necessary to recoup from the Agency all funds <br />required to be returned by the County to the U.S. Department of the Treasury. <br /> <br />The Agency is solely responsible for seeking repayment from any <br />subcontractor in conformance with its debt collection policy. <br /> <br />The Agency shall include the above clause, adapted for the proper parties, in <br />any subcontract, subject to the terms and conditions of Exhibit A. <br /> <br />E. Debts Owed the Federal Government. <br /> <br />1. Any funds paid to Agency in excess of the amount to which Agency is finally <br />determined to be authorized to retain under the terms of this Agreement, <br />that are determined by the Treasury Office of Inspector General to have <br />been misused or that are determined by Treasury to be subject to a <br />repayment obligation pursuant to section 603(e) of the Act and have not <br />been repaid by Agency shall constitute a debt to the federal government. <br /> <br />2. Any debts determined to be owed the federal government must be paid <br />promptly by Agency. A debt is delinquent if it has not been paid by the date <br />specified in Treasury’s initial written demand for payment, unless other <br />satisfactory arrangements have been made or if the Agency knowingly or <br />improperly retains funds that are a debt as defined in paragraph 1 of this <br />subsection, Treasury will take any actions available to it to collect such a <br />debt. <br /> <br />3. Any debts determined to be owed to the County must be promptly paid by <br />Agency. A debt is delinquent if it has not been paid by the date specified in <br />County’s initial written demand for payment, unless other satisfactory <br />arrangements have been made or if the Agency knowingly or improperly <br />retains funds that are a debt. The County will take any actions available to <br />it to collect such a debt. <br /> <br />The Agency shall include the above clause, adapted for the proper parties, in <br />any subcontract, subject to the terms and conditions of Exhibit A. <br />
