Exhibit A <br />PE-23-AR-01-198 <br />City of Everett <br />Page 19 of 19 <br />This Contract constitutes the entire agreement between the parties as to the <br />subject matter hereof and supersedes all prior discussion and <br />understandings between them. <br /> <br />In addition to the Unilateral Amendment provision contained in Section XLII. <br />B. of the Basic Terms and Conditions, Agency agrees that in consideration <br />of the fluid nature of the COVID-19 pandemic response, unilateral <br />amendment may be utilized by the County in the event any terms or <br />conditions related to the funds provided under this Contract are updated or <br />if new requirements are issued by the federal government. <br /> <br />XII. TIME OF THE ESSENCE <br /> <br />Time is of the essence in the performance of each party’s obligations under this <br />Contract. Each party will carry out its obligations under this Contract diligently and <br />in good faith.
