Data Sharing Addendum - 4 <br />6.20.23 <br />c. Receiving Party for all Confidential Information must comply with the City <br />Data Security Requirements (EXHIBIT A: CITY DATA SECURITY <br />REQUIREMENTS). <br />5. Confidential Information Non-Disclosure. <br />a. Receiving Party shall not disclose, in whole or in part, the Confidential <br />Information provided by City to any individual or entity, unless this <br />Addendum specifically authorizes the disclosure. Confidential Information <br />may be disclosed only to persons and entities that have the need to use <br />the data to achieve the Authorized Use and only when such disclosure is <br />in accordance with this Addendum. <br />b. Receiving Party shall not use, publish, transfer, sell, or otherwise disclose <br />any Confidential Information for any purpose that is not directly connected <br />with the Authorized Use, except: <br />As required by law in accordance with Section 8; or <br />With the prior written consent of the Director; or <br />In the case of Confidential Information including Personal <br />Information, with the prior written consent of the Director and the <br />prior written consent of the person or personal representative of <br />the person who is the subject of the Confidential Information. <br />c. Receiving Party must identify to the City: <br />Authorized Users, which are those persons or classes of persons <br />in its workforce who need access to Confidential Information to <br />carry out their duties; and <br />For each such person or class of persons, the types of <br />information to which access is needed and any conditions <br />appropriate to such access. <br />d. Authorized Users may access Confidential Information only for the <br />Authorized Use. For each Authorized User: <br />Receiving Party shall instruct the Authorized User on the <br />requirements of this Addendum. This means that the Receiving <br />Party shall ensure that all staff with access to the Confidential <br />Information are aware of the use and disclosure requirements of <br />this Addendum, will advise new staff of the provisions of this <br />Addendum, and will provide an annual reminder to staff of these <br />requirements. will access <br />Receiving Party shall require the Authorized User to read and <br />sign an agreement to comply with the non-disclosure <br />requirements of this Addendum prior to being granted access to <br />Confidential Information.
