Data Sharing Addendum - 3 <br />6.20.23 <br />2. Purpose <br />The purpose of this Addendum is to provide terms and conditions under <br />which the City will allow the restricted use of its Confidential Information to the <br />Receiving Party, and under which the Receiving Party may receive and use <br />the Confidential Information. This Addendum ensures that City Confidential <br />Information is provided, protected, and used only for purposes authorized by <br />this Addendum and state and federal law governing such use. <br />The Confidential Information to be shared under this Addendum is shared to <br />help the City fulfill its functions as municipal corporation under the laws of the <br />State of Washington. <br />3. Confidential Information Use Requirements <br />a. Receiving Party acknowledges that the City is providing City Confidential <br />Information to Receiving Party under this Addendum. <br />b. The City does not provide Confidential Information for Receiving Party’s <br />discretionary use. Receiving Party must use the Confidential Information <br />only for the Authorized Use. <br />c. Receiving Party shall not access or use the Confidential Information for <br />any commercial purpose except as necessary for the Authorized Use or <br />for any personal purpose. <br />d. Unless the Agreement specifically states otherwise, the Confidential <br />Information may not be linked with other data sources without prior <br />written agreement of the Director. <br />e. Unless the Agreement specifically states otherwise, the Receiving Party <br />is not authorized to update or change any Confidential Information on <br />any City system without prior written agreement of the Director. <br />4. Confidential Information Security <br />a. Receiving Party shall take due care and take reasonable precautions to <br />protect the City’s data from unauthorized physical and electronic access. <br />Receiving Party certifies that it complies with the requirements of the <br />Washington OCIO Security Standard’s policies and standards for data <br />security and access controls to ensure the confidentiality, integrity and <br />availability of all data shared. <br />b. Receiving Party must protect and maintain all Confidential Information <br />against unauthorized use and disclosure. This duty requires Receiving <br />Party to employ reasonable security measures in accordance with <br />Washington OCIO Security Standard. Receiving Party will restrict access <br />to the Confidential Information by: <br />Allowing access only to Authorized Users that have an authorized <br />business requirement to view the Confidential Information; and <br />Physically securing any computers, documents, or other media <br />containing the Confidential Information.
