<br />EDF TEMPLATE VERSION 02-09-24 (DO NOT DELETE) Contract Number: [Insert] <br /> ENVIRONMENTAL DEFENSE FUND, INC. <br />GRANT AGREEMENT This grant agreement (the “Grant Agreement”) is entered into as of 03/14/2024 (the “Effective Date”), and executed on the date of the last signature provided herein (the “Execution Date”), by and between: a) Environmental Defense Fund, Inc. (“EDF”), a not-for-profit organization incorporated in the United States in the State of New York, whose principal address is 257 Park Avenue South, New York, NY 10010, and b) City of Everett, Transit Division (“Grantee,” together with EDF, the “Parties” or each a “Party”), whose principal address is located at 3201 Smith Ave. Everett, WA 98201. <br />1. Grant; Purpose EDF hereby awards Grantee a grant in the amount of $12,310 to undertake the project described below. In support of Grantee’s and EDF’s shared interests in of facilitating a transition to zero- emission vehicles and achieve carbon reduction goals, Grantee agrees to use the grant funds to hire an EDF Climate Corps fellow, whose work will support ambitious sustainability goals to deploy and transition to zero-emission electric municipal truck and bus fleets. EDF Climate Corps fellows will provide needed assistance to local governments with limited capacity to conduct fleet evaluations and provide information on foundational policies and incentives that promote a practical transition from diesel- powered vehicles. Scope: Grantee will host a Climate Corps Fellow for the 2024 program year to support objectives described above, with the following responsibilities outlined below: - Fellow selection: Collaborating with EDF and Climate Corps staff, Grantee will provide guidelines on skills, experience, and qualifications for fellows to be placed with the host government. - Grantee agrees to onboard fellows and use funds to pay for the Climate Corps fellow salary. Additional funds can also be used to cover associated taxes and administrative fees. - EDF and Climate Corps staff will provide subject matter training and project support to fellows throughout the fellowship period. Grantee will collaborate with Lindsay Shigetomi, Manager, Fleet Electrification, (Lshigetomi@edf.org) who will be the EDF points of contact for the work under this Grant Agreement. Grantee will also be able to use EDF as a resource for existing and forthcoming analysis and other support as needed and mutually agreed upon. <br /> <br /> <br />2. Reports
