<br /> and through no fault of Lessee, any Governmental Approval issued to Lessee is canceled,
<br /> expires, lapses or is otherwise withdrawn or terminated by the applicable Governmental
<br /> Authority, then Lessee shall have the right in its sole and absolute discretion to terminate
<br /> this Lease upon a one hundred and eighty(180)days'prior written notice to Lessor,without
<br /> penalty or further obligation to Lessor (or Lessor's affiliates, employees, officers, agents
<br /> or lenders). "Governmental Authority" means any: (i) federal, state, county, municipal,
<br /> tribal or other local government and any political subdivision thereof having jurisdiction
<br /> over the Parties or this Lease; (ii) any court or administrative tribunal exercising proper
<br /> jurisdiction; or (iii) any other governmental, quasi-governmental, self-regulatory,judicial,
<br /> public or statutory instrumentality, authority, body, agency, bureau or entity of competent
<br /> jurisdiction.
<br /> 7. ACCESS. Commencing on the Effective Date and continuing throughout the Term, Lessee
<br /> and Lessee's employees, agents and contractors, at no additional charge to Lessee, and upon
<br /> at least forty eight(48)hours' prior written notice to Lessor and subject to reasonable,uniform
<br /> security measures adopted by Lessor from time to time as provided to Lessee in writing, shall
<br /> have ingress and egress ("Access") to the Premises during ordinary business hours (8:30 a.m.
<br /> to 5:00 p.m. Monday through Friday) from the adjacent public road to the Premises, as may be
<br /> reasonable for purposes consistent with this Lease. Lessor shall have the right to accompany
<br /> Lessee during any such Access. Notwithstanding the foregoing, in the event of a bona fide
<br /> emergency which is reasonably likely to result in an immediate risk of injury or of damage to
<br /> persons,the Property or the Site ("Emergency"), Lessee shall have Access to the Premises 24
<br /> hours per day, 7 days per week and shall not be required to provide advance written notice,but
<br /> shall be required to provide Lessor notice thereafter as soon as reasonably possible following
<br /> such Emergency Access. Prior to Access, Lessee and Lessee's employees, agents and
<br /> contractors must provide Lessor with a list of names of all persons that will be present on the
<br /> Property as well as a current certificate of insurance for such persons' employer if such current
<br /> certificate of insurance is not already on file with Lessor. All persons accessing the Property
<br /> on behalf of the Lessee must wear photo identification at all times while on the Property.
<br /> Lessee acknowledges that the Property's primary purpose is a secure municipal facility. While
<br /> on the Property, Lessee and its employees, contractors, or agents, shall not interfere with other
<br /> lessees' quiet enjoyment or existing use of the Site as of the Effective Date;provided,however,
<br /> that the installation and normal operation of a communication facility of the type contemplated
<br /> herein shall not be deemed to interfere with other lessees' quiet enjoyment or existing use of
<br /> the Site.
<br /> 8. MAINTENANCE.
<br /> a. LESSOR'S MAINTENANCE. Throughout the term of this Lease, Lessor shall maintain,
<br /> at its sole cost and expense, the Property excluding any damage to the Site, Premises or
<br /> Property to extent caused by Lessee during installation, use, maintenance, operation, and
<br /> removal of Lessee's Equipment. In an emergency, Lessor shall have the right,but not the
<br /> obligation, to repair damage caused by the Lessee, its agents,representatives, contractors
<br /> or subcontractors to the Site, Premises or Property. Lessee shall be responsible for
<br /> payment of the full, documented cost of such repair upon sixty (60) days receipt of the
<br /> invoice and supporting documentation from Lessor. Lessor shall not have any right or
