City of Everett 18 Street Medicine Team Pilot Program <br />Subcontract of HCA Contract #K7759 <br /> <br /> <br />A. Be in writing; <br />B. Include a written description of the dispute; <br />C. State the relative positions of the parties and the remedy sought; and <br />D. State the Contract Number and the names and contact information for the <br />parties. <br />4.15.3 This dispute resolution process constitutes the sole administrative remedy <br />available under this Contract. The parties agree that this resolution process will <br />precede any action in a judicial or quasi-judicial tribunal. <br />4.16 ENTIRE AGREEMENT <br /> <br />The City and Conquer agree that the Contract is the complete and exclusive statement of <br />the agreement between the parties relating to the subject matter of the Contract and <br />supersedes all letters of intent or prior contracts, oral or written, between the parties <br />relating to the subject matter of the Contract, except as provided in Section 4.43, <br />Warranties. <br />4.17 FORCE MAJEURE <br /> <br />A party will not be liable for any failure of or delay in the performance of this Contract for <br />the period that such failure or delay is due to causes beyond its reasonable control, <br />including but not limited to acts of God, war, strikes or labor disputes, embargoes, <br />government orders or any other force majeure event. <br />4.18 FUNDING WITHDRAWN, REDUCED, OR LIMITED <br /> <br />If the City determines in its sole discretion that the funds it relied upon to establish this <br />Contract have been withdrawn, reduced or limited, or if additional or modified conditions <br />are placed on such funding after the effective date of this contract but prior to the normal <br />completion of this Contract, then the City, at its sole discretion, may: <br />4.18.1 Terminate this Contract pursuant to Section 4.38.3, Termination for Non- <br />Allocation of Funds; <br />4.18.2 Renegotiate the Contract under the revised funding conditions; or <br /> <br />4.18.3 Suspend Conquer <br /> advance written notice to Conquer.
