City of Everett 19 Street Medicine Team Pilot Program <br />Subcontract of HCA Contract #K7759 <br />The City determines that there is reasonable likelihood that the funding <br />insufficiency may be resolved in a timeframe that would allow Conquer <br />performance to be resumed prior to the normal completion date of this Contract. <br />A. During the period of suspension of performance, each party will inform the <br />other of any conditions that may reasonably affect the potential for <br />resumption of performance. <br />B. When the City determines in its sole discretion that the funding <br />insufficiency is resolved, it will give Conquer written notice to resume <br />performance. Upon the receipt of this notice, Conquer will provide written <br />notice to the City informing the City whether it can resume performance <br />email. <br />C. If Conquer the City and an <br />acceptable date cannot be negotiated, the City may terminate the contract by <br />giving written notice to Conquer. The parties agree that the Contract will be <br />terminated retroactive to the date of the notice of suspension. The City will be <br />liable only for payment in accordance with the terms of this Contract for <br />services rendered prior to the retroactive date of termination. <br />4.19 GOVERNING LAW <br />This Contract is governed in all respects by the laws of the state of Washington, without <br />reference to conflict of law principles. The jurisdiction for any action hereunder is <br />exclusively in the Superior Court for the state of Washington, and the venue of any action <br />hereunder is in the Superior Court for Snohomish County, Washington. <br />4.20 HCA NETWORK SECURITY <br />Conquer agrees not to attach any Conquer-supplied computers, peripherals or software <br />Officer. Unauthorized access to HCA networks and systems is a violation of HCA Policy <br />and constitutes computer trespass in the first degree pursuant to RCW 9A.52.110. <br />Violation of any of these laws or policies could result in termination of the contract and <br />other penalties. <br />4.21 INDEMNIFICATION <br />Conquer shall defend, indemnify, and save the City and HCA harmless from and against <br />confidentiality obligations as contained herein, arising from intentional or negligent acts or <br />omissions of Conquer, its officers, employees, or agents, or Conquer Subcontractors, <br />their officers, employees, or agents, in the performance of this Contract. <br />4.22 INDEPENDENT CAPACITY OF CONQUER
