minority and women's business enterprises, and other locations and mediums that will <br />further publicize subcontractor opportunities. <br />19.7 PUBLIC RECORDS <br />Under Washington state public records laws, records and documents including but not limited <br />to written, printed, graphic, electronic, photographic or voice mail materials and/or <br />transcriptions, recordings or reproductions provided to City or used by the City in <br />connection to the Contract Documents become a public record subject to mandatory <br />disclosure upon request by any person, unless the records and documents are exempt from <br />public disclosure by a specific provision of law. The City has no obligation to enforce any <br />exemption. Contractor will fully cooperate with the City to comply with the Washington state <br />public records laws. <br />19.8 AUDITS AND RETENTION OF RECORDS <br />A.All of the Project Records related to this Contract shall be open to inspection, audit, <br />and/or copying by the City: <br />i.During the Contract Time; <br />ii.For a period of not less than six (6) years after the date of Final Acceptance of the last <br />Work or termination of the Contract. The Contractor shall also ensure that the wage, <br />payroll and cost records of all Subcontractors and Suppliers at all tiers is retained and <br />open to similar inspection or audit for the period required above by incorporating the <br />provisions of this Audit section into any agreements with Subcontractors or Suppliers <br />related to this Contract; and <br />iii.If any Claim, audit, or litigation arising out of, in connection with, or related to this Contract <br />is initiated, all documents and records shall be resolved or completed, whichever occurs <br />later. <br />B.The Contractor, its Subcontractors and Suppliers will make a good faith effort to cooperate with <br />the City when the City gives notice of its need to inspect or audit Project Records. Cooperation <br />will include assistance as may be reasonably required in the course of inspection or audit, <br />including access to personnel with knowledge of the contents of the records being inspected <br />or audited so that the information in the records is properly understood by the persons <br />performing the inspection or audit. Cooperation will also include establishing a specific mutually <br />agreeable timetable for making the records available for inspection by the City and its designee. <br />Unless otherwise agreed, if the Contractor, its Subcontractors and Suppliers cannot make at <br />least some of the relevant records available for inspection within fourteen (14) days of the <br />City’s written request, cooperation will necessarily entail providing the City with a reasonable <br />explanation for the delay in production of records. Failure to cooperate will impact future <br />responsibility determinations. <br />C.The Contractor agrees that no Claim will be made against the City for the Work described herein <br />unless the Contractor makes available to the City all documents and records. Failure to maintain <br />and retain sufficient records to allow the City to verify all costs or damages or failure to permit <br />the City or its designee access to the books and records shall constitute a waiver of the rights of
